Replacement Agreement definition

Replacement Agreement shall have the meaning set forth in Paragraph 2(b) hereof.

Replacement Agreement means an agreement entered into as a replacement for any Relevant Agreement;

• Where any agreement between the Licensee and the Licensors replaces this Agreement or licenses substantially the same activities (the "Replacement Agreement"), the twelve month time-limit referred to above shall begin following termination or expiry of the Replacement Agreement.

More Definitions of Replacement Agreement

Replacement Agreement means any agreement identical to this Agreement excluding Sections 2.06, 7.04(i), 12.22, 12.23, 12.24, 12.25 and 12.26 together with such additional changes as Seller and Department shall mutually agree. (dd) “Termination of Employment of Executive as a Retired Early Employee” means a Termination of Employment of Executive pursuant to Paragraph 6(a) hereof, that is, either a Termination of Employment of Executive without Cause or a Termination of Employment of Executive for Good Reason, in either case, following a Change in Control and otherwise meeting the requirements of Paragraph 6(a) hereof. (ee) “Termination of Employment of Executive for Cause” shall mean a termination of the Employment of Executive by Arrow or the Banks pursuant to Paragraph 7(a) for any one or more of the following “Causes:”
