Replacement Guarantee definition

Replacement Guarantee has the meaning given in Clause 17.3.1(a).

Replacement Guarantee means the guarantee to be entered into by Seller or a Subsidiary of Seller prior to the Closing Date in connection with the sale by Engineered Materials Solutions, Inc. of its contacts business to a joint venture of Checon Corporation and Shivalik Bimetal Controls Ltd., such guarantee to be fully secured by collateral of such joint venture (and include reasonable mechanics for the guarantor from time to time to verify the adequacy of the collateral securing its guarantee), limit the liability of the guarantor to $5 million and otherwise be in form and substance reasonably acceptable to Buyer (it being understood that Buyer shall be entitled to participate in the discussions with respect to the form and substance of such guarantee on and after the date hereof and prior to the execution thereof).

Replacement Guarantee has the meaning ascribed to it in Section 6.4(c).

Examples of Replacement Guarantee in a sentence

• Preventative maintenance checks, cleaning, product diagnosis, customer education, accessory repairs/replacements, computer software related problems, and any unauthorized repairs done outside of the USA are not considered repairs for the purposes of this Replacement Guarantee.

• Upon delivery of the Replacement Guarantee, (i) such Replacement Guarantee shall be deemed to be the “Guarantee” and such Affiliate or other Person providing such guarantee, as the case may be, shall be deemed to be the “Guarantor” for all purposes of this Agreement and (ii) the Buyer shall return the original Guarantee to the original Guarantor within five (5) Business Days of such delivery.

• We hereby consent to the filing of this opinion as an exhibit to the Registration Statement relating to the Replacement Notes and the Replacement Guarantee and to the reference to us under the heading “Legal Matters” in the Offering Circular.

• The Replacement Guarantee shall have a term equal to the remaining term of the Initial Guarantee Period or the Guarantee Extension Period, as applicable; and provided further, that if Parent enters into the Replacement Facility during the Initial Guarantee Period, Parent shall have the right to request the Guarantee Extension with respect to the Replacement Facility pursuant to the terms of Section 3.1 hereof.

The cost of the replacement will not exceed the original product purchase price and may be less due to technological advances. We reserve the right to issue a voucher for the original purchase price. Any remaining duration of this Service Contract will attach to the replacement product.
