Report on Proceedings. Promptly upon the Issuer’s becoming aware of (i) any proposed or pending investigation of it by any governmental authority or agency; or (ii) any pending or proposed court or administrative proceeding which involves or is reasonably likely to involve the possibility of materially and adversely affecting the properties, business, prospects, profits or condition (financial or otherwise) of the Issuer, the Issuer shall deliver to the Indenture Trustee a written notice specifying the nature of such investigation or proceeding and what action the Issuer is taking or proposes to take with respect thereto and evaluating its merits.
Report on Proceedings promptly upon the Servicer's becoming aware of
(1) any proposed or pending investigation of it by any governmental authority or agency, or
(2) any court or administrative proceeding which involves or may involve the possibility of materially and adversely affecting the properties, business, prospects, profits or conditions (financial or otherwise) of the Servicer, a written notice specifying the nature of such investigation or proceeding and what action the Servicer is taking or proposes to take with respect thereto and evaluating its merits; and
Report on Proceedings promptly upon the Seller's becoming aware of
(1) any proposed or pending investigation of it by any governmental authority or agency, or
(2) any court or administrative proceeding, which involves or may involve the possibility of materially and adversely affecting the properties, business, prospects, profits or condition (financial or otherwise) of the Seller, a written notice specifying the nature of such investigation or proceeding and what action the Seller is taking or proposes to take with respect thereto and evaluating its merits;
Report on Proceedings promptly upon the Originator becoming --------------------- aware of
(1) any proposed or pending investigation of it by any governmental authority or agency, or
(2) any court or administrative proceeding, which involves or may involve the possibility of materially and adversely affecting the properties, business, prospects, profits or condition (financial or otherwise) of the Originator, a written notice specifying the nature of such investigation or proceeding and what action the Originator is taking or proposes to take with respect thereto and evaluating its merits;
Report on Proceedings promptly upon the Transferor's becoming aware of
(1) any proposed or pending investigation of it by any governmental authority or agency, or
(2) any court or administrative proceeding, which involves or may involve the possibility of materially and adversely affecting the properties, business, prospects, profits or condition (financial or otherwise) of the Transferor, a written notice specifying the nature of such investigation or proceeding and what action the Transferor is taking or proposes to take with respect thereto and evaluating its merits;
Report on Proceedings promptly upon the Company's becoming aware of
(i) any proposed or pending investigation of it by any governmental authority or agency, or
(ii) any pending or proposed court or administrative proceeding which involves or may involve the possibility of materially and adversely affecting the properties, business, prospects, profits or condition (financial or otherwise) of the Company the Company shall deliver to the Trustee a written notice specifying the nature of such investigation or proceeding and what action the Company is taking or proposes to take with respect thereto and evaluating its merits.
Report on Proceedings. Promptly upon the Servicer’s becoming aware of:
(i) any threatened or pending investigation of it by any Governmental Authority or agency, or
(ii) any threatened or pending court or administrative Proceeding which individually or in the aggregate involves the possibility of materially and adversely affecting a material portion of the Serviced Assets or the business or conditions (financial or otherwise) of the Servicer, a written notice specifying the nature of such investigation or proceeding and what action the Servicer is taking or proposes to take with respect thereto and evaluating its merits.
Report on Proceedings. Promptly upon the Issuer’s becoming aware of (i) any proposed or pending investigation of it by any governmental authority or agency; or (ii) any pending or proposed court or administrative proceeding which involves or may involve the possibility of materially and adversely affecting the properties, business, prospects, profits or condition (financial or otherwise) of the Issuer, the Issuer shall deliver to the Indenture Trustee, each Purchaser and the KL2 2878899.10 Administrative Agent a written notice specifying the nature of such investigation or proceeding and what action the Issuer is taking or proposes to take with respect thereto and evaluating its merits.
Report on Proceedings. Promptly upon the Issuer becoming aware of:
(i) any threatened or pending investigation of the Issuer, the Servicer or the Trust by any Governmental Authority or agency, or
(ii) any threatened or pending court or administrative Proceeding or the institution of any litigation, arbitration proceeding or other Proceeding which individually or in the aggregate involves the possibility of materially and adversely affecting the Collateral (including, without limitation, the value of the Collateral or the Indenture Trustee’s first priority perfected security interest in the Collateral), or the business or conditions (financial or otherwise) of the Servicer, the Issuer or the Trust, a written notice specifying the nature of such investigation or proceeding and what action the Servicer, the Issuer or the Trust, as the case may be, is taking or proposes to take with respect thereto and evaluating its merits; and
Report on Proceedings. No later than two Business Days after becoming aware of any investigation of the Borrower or any Subsidiary by any governmental authority or agency or any court or administrative proceeding or arbitration which, if adversely determined, would reasonably involve a possibility of an adverse effect on the ability of the Borrower to perform its obligations under this Agreement, the Note or any other Loan Document, the Borrower shall provide the Lenders with an Officer's Certificate specifying the nature of such investigation or proceeding and what action the Borrower is taking or proposes to take with respect thereto.
