The Representative Member has duly accounted for VAT for all VAT accounting periods ended prior to the date of this Agreement to the extent material to the UK SPE, except where any failure would not reasonably be expected to have a Material Adverse Effect.
The Servicers shall ensure that (A) the Representative Member timely files all VAT returns and pays all VAT for which it is responsible in respect of the Existing Corpay VAT Group, in each case to the extent material to the UK SPE, except for amounts contested in good faith with adequate reserves; and (B) the VAT Grouping arrangements are operated in compliance with the VAT Grouping Legislation and applicable law.
