Each Party shall, and shall ensure that its Affiliates and its and its Affiliates’ Representatives and sublicensees, comply with Applicable Laws in all material respects in the performance of its obligations and the exercise of its rights under this Agreement.
The Receiving Party shall use at least the same standard of care as it uses to protect proprietary or confidential information of its own (but in no event less than reasonable care) to ensure that its Representatives do not disclose or make any unauthorized use of the Confidential Information of the Disclosing Party.
It is mutually understood and agreed by the Parties that the relationship between Client and Consultant is that of independent contractors, and nothing in this Agreement is intended nor shall be construed to create an employment, partnership or agency relationship between Client and Consultant or any of their respective Representatives.

In the event that this Agreement is terminated and the Transactions contemplated hereby are not consummated, the Company, each Target Company and each Acquisition Entity shall, and shall cause their respective Representatives to, promptly deliver to Purchaser or destroy (at Purchaser’s election) any and all copies (in whatever form or medium) of Purchaser Confidential Information and destroy all notes, memoranda, summaries, analyses, compilations and other writings related thereto or based thereon.
