Request for Borrowing definition

Request for Borrowing has the meaning provided in Section 2.3(a).

Request for Borrowing means with respect to a Borrowing, conversion or continuation of Term Loans, a Committed Loan Notice.

Request for Borrowing means a written request for a Borrowing substantially in the form of Exhibit F, signed by a Responsible Official of Borrower, and properly completed to provide all information required to be included therein.

Examples of Request for Borrowing in a sentence

• Each Request for Borrowing submitted by a Borrower Party shall be deemed to be a representation and warranty by all Borrower Parties that the conditions specified in Sections 7.03(a) and 7.03(b) have been satisfied on and as of the date of the applicable Borrowing.

• When determining the prior days’ notice required for any Request for Borrowing or other notice to be provided by any Loan Party or an Investor hereunder, the day the notice is delivered to the Administrative Agent (or such other applicable Person) shall not be counted, but the day of the related Borrowing or other relevant action shall be counted.

• Each Request for Borrowing submitted by any Borrower Party shall be deemed to be a representation and warranty by all Borrower Parties that the conditions specified in Sections 7.01 and 7.02 have been satisfied in all material respects on and as of the date of the applicable Borrowing.

More Definitions of Request for Borrowing

Request for Borrowing means an irrevocable written notice from a Responsible Officer of Administrative Borrower to Lender of a Borrower’s request to borrow any Loan, which notice shall be substantially in the form of Exhibit R-1 attached hereto.

Request for Borrowing means a request by Borrower for a Borrowing in accordance with Section 2.2.

Request for Borrowing shall have the meaning set forth in Section 2.2(a) of this Agreement.

Request for Borrowing means, (a) with respect to a Borrowing, conversion or continuation of Loans, a Loan Notice, and (b) with respect to an L/C Credit Extension, the related Request for Letter of Credit and Letter of Credit Application.

Request for Borrowing means, in connection with a Floor Plan Loan or a Swing Line Loan, under the Floor Plan Commitment, a Request for Borrowing substantially in the form attached hereto as Exhibit 1.1D, and in the case of an Acquisition Loan or a Swing Line Loan under the Acquisition Commitment, a Request for Borrowing substantially in the form attached hereto as Exhibit 1.1E.

Request for Borrowing shall have the meaning set forth in Section 2.2(a) of this Agreement. "Revolving Loan Commitment" shall mean the maximum outstanding amount to be funded by the Lending Company to the Borrowing Company. The aggregate sum which the Lending Company may loan to the Borrowing Company under this Agreement shall not exceed $40,000,000.
