Any such modifications and amendments are referred to herein as a “Required Change.” ICANN’s right to implement Required Changes under this Supplement shall expire on 15 January 2014.

Any and all costs associated with (i) Required Changes initiated by either Party, or (ii) Discretionary Changes initiated by the Buyer shall be borne by the Buyer.
Seller shall consider in good faith any request by Buyer to make changes to the Product Specifications or Manufacturing that are not Required Changes, including, but not limited to, changes to the existing Product, Product line extensions, or changes to the existing or additional packaging (collectively, “Discretionary Changes”).
Buyer shall, in the case of an Buyer-Initiated Change or, if it elects to do so, in the case of Seller Initiated Changes, and in all events in the case of Required Changes, thereafter issue such Change Order having regard to all such circumstances as is just and equitable and in a form substantially similar to the Change Order Form attached hereto as Exhibit D-1 which shall address, to the extent required, all of the issues set out in this Section 13.1(c).
