Required Records definition

Required Records shall have the meaning set forth in Section 5.1(j)(x) hereof.

Required Records is defined in Section 8.1(a).

Required Records means records relating to the services performed by BNYM for the Funds pursuant to the Agreement required to be retained under the 1940 Act which BNYM has agreed to keep in accordance with Section 31(a) of the 1940 Act and the rules thereunder.

• If the Disclosure Document is required to be revised, Borrower shall cooperate with Lender in updating the Provided Information or Required Records for inclusion or summary in the Disclosure Document or for other use reasonably required in connection with a Secondary Market Transaction by providing all current information pertaining to Borrower, Manager and the Property necessary to keep the Disclosure Document accurate and complete in all material respects with respect to such matters.

• All of the records prepared and maintained by Countrywide pursuant to this Paragraph 3 which are required to be maintained by the Trust under the Code and the Act ("Required Records") will be the property of the Trust.

• If this agreement is terminated, all Required Records shall be delivered, at the Fund's expense, to the Fund or any such person designated by the Fund, and U.S. Trust shall be relieved of responsibility for the preparation and maintenance of any Required Records delivered to the Fund or any such person.

• U.S. Trust hereby acknowledges and agrees that all records prepared and maintained by U.S. Trust pursuant to this paragraph 3 which are required to be maintained by the Fund under the Code and the 1940 Act ("Required Records") are the property of the Fund.

• In the event this Agreement is terminated, all Required Records shall be delivered to the Trust or to any person designated by the Trust at the Trust's expense, and Countrywide shall be relieved of responsibility for the preparation and maintenance of any Required Records delivered to the Trust or any such person.
