No committee of the Board shall be established, and no authority shall be delegated by the Board to any committee, without the consent of the Requisite Threshold.
If a requested registration pursuant to this Section 2.1 involves an underwritten offering, the underwriter or underwriters thereof shall be selected by the Company and reasonably acceptable to the Requisite Threshold.
