Resale Prospectus definition

Resale Prospectus has the meaning set forth in Section 3.5.
Resale Prospectus means the final prospectus supplement to the Base Prospectus relating to the resale of the New Shares purchased pursuant to the Standby Purchase Commitment filed with the Commission, pursuant to Rule 424 under the Securities Act, together with the Base Prospectus, including the documents incorporated by reference therein.
Resale Prospectus has the meaning set forth in Section 3.4.

  • The foregoing lock-up restrictions shall not apply to any shares of Common Stock that are held by a selling stockholder of the Company identified in the resale prospectus that forms a part of the Registration Statement (the “Resale Prospectus”) and will be sold pursuant to the Resale Prospectus.

Resale Prospectus means the Prospectus, along with any amendments or supplements thereto, forming a part of the Shelf Registration Statement.
