Resale Prospectus definition

Resale Prospectus has the meaning set forth in Section 3.5.
Resale Prospectus means the final prospectus supplement to the Base Prospectus relating to the resale of the New Shares purchased pursuant to the Standby Purchase Commitment filed with the Commission, pursuant to Rule 424 under the Securities Act, together with the Base Prospectus, including the documents incorporated by reference therein.
Resale Prospectus means a prospectus provided by a Reference Company in respect of Restricted Reference Shares in accordance with the terms of an applicable registration rights agreement between the Company and such Reference Company pursuant to which holders of Reference Shares received upon exchange or purchase of Debentures may resell such Restricted Reference Shares.
