The Councils have agreed to work together in a partnering relationship to jointly procure a residual waste treatment facility and deliver residual waste treatment services (the "Solution") in furtherance of the objectives of the North Wales Residual Waste Treatment Partnership (the "Partnership") and the project known as the North Wales Residual Waste Treatment Project (the "Project").
The failure by the Contractor, unless specifically excused in writing by the County Contract Manager, to deliver to the Designated Disposal Facility: i) Solid Waste Collected by the Contractor; and/or, ii) Residual Waste from in-County Processing facilities or other Processing facilities receiving Franchised Materials.
Except in the case where Hazardous Waste or Unacceptable Waste are delivered to the Operator’s Facility, title to the Municipal Waste and Residual Waste shall pass to the Operator upon delivery to the Operator’s Facility and acceptance of such waste by the Operator.
The Contractor shall Transport and Dispose of all Franchised Materials, 660 including Solid Waste and Residual Waste, which it Collects pursuant to this Agreement, but does 661 not divert from landfill Disposal at the Designated Disposal Facility, in accordance with the 662 requirements of Applicable Law.
Contractor further agrees 664 to ensure the delivery any Residual Waste from any Approved Processing Facility which is owned 665 or operated by Contractor or its Affiliates and located within the County to the Designated 666 Disposal Facility, regardless of the origin of that Residual Waste.
