Resign for Good Reason definition

Resign for Good Reason or “Resignation for Good Reason” has the meaning found in Section 7(e).
Resign for Good Reason means your resignation from all positions then held with the Company (or its successor), and its affiliates, following the occurrence of one of the following events without your written consent: (A) a material reduction of your duties, position or responsibilities, provided that such duties, position and responsibilities shall not be deemed to be materially reduced if you retain reasonably comparable duties, position and responsibilities with respect to the Company’s business within the successor entity following a Change of Control Transaction; (B) a reduction by the Company (or its successor) in your gross base salary, as in effect immediately prior to such reduction, by more than 10%, other than in connection with a similar reduction for all similarly-situated employees of the Company (or its successor); (C) a material reduction by the Company (or its successor) in the kind or level of benefits to which you are entitled immediately prior to such reduction with the result that your overall benefits package is materially diminished, or (D) relocation of your principal place of work to a location that is more than 50 miles from your principal work site for the Company immediately prior to the closing of the Change of Control Transaction; provided that prior to such resignation, you provide written notice of the occurrence of such event listed above to the Company’s (or its successor’s) President or Chief Executive Officer within the 60-day period following the occurrence of such event and such event is not remedied by the Company, or its successor, within 30 days following its receipt of such written notice.
Resign for Good Reason. OR "RESIGNATION FOR GOOD REASON" has the meaning found in Section 7(e).

Examples of Resign for Good Reason in a sentence

  • If within the notice period, Company cures or corrects any circumstances providing a basis for Resignation for Good Reason pursuant to Sections 7(f)(1)(A) or (E) only, Executive shall not be entitled to Resign for Good Reason.

  • If, within the notice period, the Company cures or corrects any circumstances providing a basis for Resignation for Good Reason pursuant to Sections 7(f)(1)(A) or (C) only, Executive shall not be entitled to Resign for Good Reason.

  • On June 5, 2008, one day after the closing of the merger, McCarthy submitted a Notice of Intent to Resign for Good Reason pursuant to the terms of her 2007 Employment Agreement and her 2006 and 2007 Incentive Award Agreements.

More Definitions of Resign for Good Reason

Resign for Good Reason means the cessation of Employee's employment upon written notice given by Employee to Employer as provided in section 5.4.1 herein.
Resign for Good Reason shall have the following definitions:
Resign for Good Reason means your termination of employment after the occurrence of any of the following events without your prior written consent (a) a material diminution in your title, duties or responsibilities; (b) a material reduction in your base salary; or (c) a required relocation of your principal office by more than 50 miles from your office location as of the date of this Agreement; provided that you may not Resign for Good Reason unless and until you provide the Company with written notice thereof within fifteen (15) days of the date you know or should have known about the initial occurrence of such event, the Company fails to cure such acts within fifteen (15) days of receipt of such notice and you terminate employment within ten (10) days following the expiration of such cure period, otherwise you may not Resign for Good Reason on account of such occurrence.
Resign for Good Reason shall have the meanings set forth below.
Resign for Good Reason by giving written notice to Employer. “Resignation for Good Reason” occurs if Employee terminates his employment with Employer because, without Employee’s express written consent, any of the events described below occurs during the Term.
Resign for Good Reason means that all of txx xxxxxxxxx xxxur: (a) the Company gives the Executive notice, formal or informal, in accordance with this Agreement or otherwise, of the occurrence of one or more events constituting Good Reason (other than a formal or informal notice that the Employment will be terminated); (b) within 20 days after receiving the first such notice or any subsequent such notice, the Executive provides the Company with notice, in accordance with this Agreement, that the Executive deems such event to constitute Good Reason; (c) the Company fails to revoke, rescind, or cancel the event that was the subject of the notice under subparagraph (b) within 10 days after such notice; and (d) within five business days after the end of the 10-day period in subparagraph (c), the Executive delivers to the Company a notice of resignation in accordance with this Agreement and states therein that the resignation is for the Good Reason set forth in the notice under subparagraph (b).
Resign for Good Reason means that all of the following occur: (a) the Company gives the Executive notice, formal or informal, in accordance with this Agreement or otherwise, of the occurrence of one or more events constituting Good Reason (other than a formal or informal notice that the Employment will be terminated); (b) within 20 days after receiving the first such notice or any subsequent such notice, the Executive provides the Company with notice, in accordance with this Agreement, that the Executive deems such event to constitute Good Reason; PAGE 3 4 EXECUTIVE: KEVXX X.
