Resignation Date definition

Resignation Date means, in respect of a Participant, the earliest date on which both of the following conditions are met:

Resignation Date means the date specified in the Resignation Notice, or the actual date the Executive terminates employment with the Company as the result of a resignation as provided in whichever occurs earlier.

Resignation Date has the meaning set out in Clause 9.4.

Examples of Resignation Date in a sentence

• Notwithstanding any other provision of the Plan, the Settlement Date shall not be later than the last day of the first calendar year that begins after the Resignation Date.

• Upon receiving Executive’s notice of intent to resign, the Company may require that Executive cease performing services for the Company at any time before the Resignation Date, so long as the Company continues Executive’s Base Salary under Section 2.1 and employee benefits under Section 2.4 through the Resignation Date.

• Except as otherwise provided under law or the terms of any employee benefit plans in which Executive participates, Executive shall not be entitled to receive any compensation or benefits from the Company after the Resignation Date.

• Evidence satisfactory to the Sellers that all material contracts and all payables and liabilities have been terminated, effective as of the Resignation Date without any payment by, or continuing liability to, the Company.

• A copy of the resignations of the existing directors and officers of Purchaser, to be effective as of the Resignation Date.
