Notwithstanding anything to the contrary in this Agreement, the parties shall have no obligation to disclose Confidential Information or data to the extent such disclosure of information or data would be a violation of or inconsistent with the terms and conditions of the PJM or NYISO Amended and Restated Operating Agreement, either Party’s OATT, any other agreement, or applicable state or federal regulation or law.
The rights, powers, preferences, restrictions and limitations of the Interests are set forth in, and this Certificate and the Interests represented hereby are issued and shall in all respects be subject to the terms and provisions of, the Amended and Restated Operating Agreement of the Company dated as of , 2011, as the same may be amended or modified from time to time (the “Operating Agreement”).
The Member hereby amends and restates the Amended and Restated Operating Agreement of the Company, dated as of November 20, 2012, and continues that certain limited liability company governed thereby upon the terms and conditions set forth in this Operating Agreement.
Intending to be legally bound hereby, the Member adopts this Amended and Restated Operating Agreement as the operating agreement of the Company.
Complete all information required in this Subscription Agreement, and date and sign the Subscription Agreement on page 6 and the Member Signature Page to our Amended and Restated Operating Agreement attached to this Subscription Agreement as Exhibit A.
