Restricted Field definition

Restricted Field means the business of manufacturing, developing, marketing, and/or selling specialty potato chips or other salted snack foods. The Company is in the business of developing, manufacturing, and selling these products in the Business Territory.
Restricted Field means the business of developing, manufacturing, licensing and selling (i) treatment of vascular thrombosis comprising thrombolytic drugs with or without bubbles and ultrasound, and (ii) oxygen delivery with bubbles or fluorocarbon emulsions.
Restricted Field means software products (a) which do not have a hardware component as a material part of the solution sold or licensed to the customer, and (b) which are intended for use primarily on desktop, laptop, palmtop or similar personal computers (as distinguished from use primarily on servers, storage area networks, or other products primarily designed as storage products).

More Definitions of Restricted Field

Restricted Field as used herein means the field of non-volatile memory technologies that are novel, including, by way of example, FRAM, MRAM, RRAM, ovonics and phase-change, but excluding FLASH and EEPROM. Executive agrees that during his employment with the Company and, if Executive has received a Severance Payment pursuant to this Agreement, for a period of 24 months following termination of employment, Executive shall not directly or indirectly engage in any business activity for the development, production or sale of any product, material or process within the Restricted Field, whether on Executive’s own behalf or as an employee, consultant or independent contractor of any other person or entity within the Americas, Canada, Europe or the Asia Pacific region or otherwise utilize Proprietary Information or his or her relationships with Company customers, suppliers or others to engage or facilitate others to engage in any facet of the business associated with the Restricted Field. The non-competition covenant set forth above will not impose undue hardship on Executive and is reasonable in both geographic scope and duration in view of: (a) the Company’s legitimate interest in protecting its Proprietary Information, the disclosure of which to the Company’s competitors would substantially and unfairly impair the Company’s ability to compete in the marketplace or substantially and unfairly benefit the Company’s competitors; (b) the specialized knowledge and experience gained by Executive during the course of Executive’s employment with the Company; (c) the fact that the services rendered by Executive on behalf of the Company were specialized, unique and extraordinary; (d) the fact that the Company directly competes within the Americas, Canada, Europe and the Asia Pacific region in the sale, production and development of products, materials or processes; and (e) the consideration, including the Severance Payment, provided by the Company to Executive as provided herein. Executive shall not disclose or divulge Proprietary Information to any person or entity at any time during the course of Executive’s employment with the Company or at any time thereafter, except as may be required in the ordinary course and good-faith performance of Executive’s employment with the Company. Restricted Field means, collectively, the fields of neuroscience (including, for the avoidance of doubt, any neurons, all neuro-influencing cells, such as astrocytes, microglia and analogous immune cells, only when such cells have as either their primary effect influencing, or any material impact on, outcomes in neurological diseases) and immuno-oncology; provided, however, that without expanding the foregoing fields, the Restricted Field shall not include the inflammation-related disease indications listed in Exhibit A hereto.
