Restricted Investor definition

Restricted Investor means (i) any Bollore Competitor, (ii) any person that owns more than a 20% Equity Interest in any Bollore Competitor, or (iii) any person who serves as a director or officer of, or any person that has the right to appoint an officer or director of, any Bollore Competitor or of any person that owns more than a 20% Equity Interest in any Bollore Competitor.
Restricted Investor means Acuitas Capital, LLC or any of its affiliates.
Restricted Investor has the meaning set forth in Section 4.5 of this Agreement.

  • Pursuant to the Lock-Up Option Agreements, each Restricted Investor has agreed not to tender its respective Locked-up Shares in this Offer.

Restricted Investor means a Permitted Institutional Investor that is the Beneficial Owner of securities of the Company constituting a Substantial Block, but not a Prohibited Block, that files, or is or becomes required to file, with the Securities and Exchange Commission a Schedule 13D in respect of the Common Stock, and either (i) has not reduced its beneficial ownership of Common Stock to an amount below a Substantial Block within the Divestiture Period or (ii) during the Divestiture Period (while the Beneficial Owner of a Substantial Block) takes any of the following actions: (A) calls, or supports the call, of a special meeting of shareholders of the Company; (B) nominates (or votes for) candidates for director of the Company not nominated by the Nominating Committee of the Board of Directors of the Company; (C) engages in any conduct intended to change or influence control (as defined in 12 CFR 225.2(e)) over the Company; or (D) publicly announces its intent to acquire additional shares of Common Stock or to not reduce its holdings to less than a Substantial Block, or to sell or otherwise transfer any shares of Common Stock beneficially owned by it to another Person that, together with all Affiliates and Associates of such Person, intends to acquire more than a Substantial Block. A Permitted Institutional Investor shall become a Restricted Investor upon the occurrence of any of the events described in (i) or (ii) of the immediately preceding sentence. A Permitted Institutional Investor shall be deemed to be an Acquiring Person on the date such Person becomes a Restricted Investor.
Restricted Investor means any Investor or Permitted Transferee except a Permitted Transferee by virtue of Section 4.5(d)(iii) hereof:
Restricted Investor means (a) any investment company or pension plan (other than a pension plan held or managed by an insurance company) that, directly or indirectly through any subsidiary or through any parent corporation is engaged in the vacation time share business and (b) any other Person that is not a Permitted Institutional Investor that, directly or indirectly through any subsidiary or through any parent corporation is engaged in the vacation time share business.
