Restricted Securities Legend definition

Restricted Securities Legend has the meaning set forth in Section 8.2(b).

Restricted Securities Legend means the legend set forth in Section 2.3(e)(i) herein.

Restricted Securities Legend means a legend substantially in the form of the legend required in the form of Security set forth in Section 2.2 to be placed upon a Restricted Security.

Examples of Restricted Securities Legend in a sentence

• The Capital Securities are being offered and sold by the Trust pursuant to the Placement Agreement in definitive, registered form without coupons and with the Restricted Securities Legend.

• Upon the transfer, exchange or replacement of Securities not bearing a Restricted Securities Legend, the Registrar shall deliver Securities that do not bear a Restricted Securities Legend.

• Any certificated Initial Security in the form of a Definitive Security delivered in exchange for an interest in the Global Security shall, except as otherwise provided by Section 2.3(e), bear the Restricted Securities Legend.

• By its acceptance of any Security bearing the Restricted Securities Legend, each Holder of such a Security acknowledges the restrictions on transfer of such Security set forth in this Indenture and agrees that it will transfer such Security only as provided in this Indenture.

• Upon their original issuance, Securities issued as contemplated by the Purchase Agreement to Qualified Institutional Buyers in reliance on Rule 144A shall be issued in the form of one or more Global Securities in definitive, fully registered form without interest coupons and bearing the Restricted Securities Legend.

More Definitions of Restricted Securities Legend

Restricted Securities Legend means, collectively, the legends substantially in the forms of the legends required in the form of Security set forth in Section 2.2 to be placed upon each Restricted Security.

Restricted Securities Legend means the Private Placement Legend set forth in clause (A) of Section 2.1(c) or the Regulation S Legend set forth in clause (B) of Section 2.1(c), as applicable.

Restricted Securities Legend means a legend in the form set forth in Exhibit A, or any other substantially similar legend indicating the restricted status of the Notes under Rule 144.

Restricted Securities Legend means the legend labeled as such and that is set forth in Exhibit A hereto.

Restricted Securities Legend means the legend set forth in Section 2.1(d)(1).

Restricted Securities Legend has the meaning specified in Section 2.6.

Restricted Securities Legend means the legend set forth in Section 2.2(f)(i) of this Appendix A.
