Restricted Shares definition

Restricted Shares shall have the respective meanings set forth in Section 2.14.
Restricted Shares means the shares of Stock underlying a Restricted Stock Award that remain subject to a risk of forfeiture or the Company’s right of repurchase.
Restricted Shares means an Award of Shares under Section 5(d) that may be subject to certain restrictions and to a risk of forfeiture.

Examples of Restricted Shares in a sentence

  • The Award and the Restricted Shares shall be subject to the terms and conditions set forth in this Agreement and the provisions of the Plan, the terms of which are incorporated herein by reference.

  • If the Participant’s service as a member of the Board is terminated for any reason, the Restricted Shares shall, to the extent not then vested or previously forfeited, immediately become forfeited without any further action by the Company or the Participant, and without any payment of consideration therefor.

  • Subject to the Participant’s continued service as a member of the Board, all of the Restricted Shares shall vest and become nonforfeitable on the earlier of (i) the first anniversary of the date specified on the Signature Page hereto and (ii) the date immediately prior to the Annual Meeting of Stockholders for the year following the date specified on the Signature Page hereto.

  • Any Common Stock or other securities received by the Awardee as a result of such transaction with respect to the Restricted Shares shall be subject to the restrictions and conditions set forth herein and in the attached Exhibit A.


More Definitions of Restricted Shares

Restricted Shares means Shares granted or sold pursuant to Section 8 as to which neither the substantial risk of forfeiture nor the prohibition on transfers referred to in such Section 8 has expired.
Restricted Shares or “Restricted Stock” means shares of Common Stock awarded to a Participant under this Plan, subject to payment of such consideration, if any, and such conditions on vesting (which may include, among others, the passage of time, specified performance objectives or other factors) and such transfer and other restrictions as are established in or pursuant to this Plan and the related Award Agreement, for so long as such shares remain unvested under the terms of the applicable Award Agreement.
Restricted Shares means Common Stock subject to restrictions imposed in connection with Awards granted under Article VII.
Restricted Shares means Shares, granted under Article 8, that are both subject to forfeiture and are nontransferable if the Grantee does not satisfy the conditions specified in the Award Agreement applicable to such Shares.
