Examples of Restricted Shares in a sentence
The Award and the Restricted Shares shall be subject to the terms and conditions set forth in this Agreement and the provisions of the Plan, the terms of which are incorporated herein by reference.
If the Participant’s service as a member of the Board is terminated for any reason, the Restricted Shares shall, to the extent not then vested or previously forfeited, immediately become forfeited without any further action by the Company or the Participant, and without any payment of consideration therefor.
Subject to the Participant’s continued service as a member of the Board, all of the Restricted Shares shall vest and become nonforfeitable on the earlier of (i) the first anniversary of the date specified on the Signature Page hereto and (ii) the date immediately prior to the Annual Meeting of Stockholders for the year following the date specified on the Signature Page hereto.
Notwithstanding anything contained herein to the contrary, the Company’s obligation to issue or deliver certificates evidencing the Restricted Shares shall be subject to the terms of all applicable laws, rules and regulations and to such approvals by any governmental agencies or national securities exchanges as may be required.
Any Common Stock or other securities received by the Awardee as a result of such transaction with respect to the Restricted Shares shall be subject to the restrictions and conditions set forth herein and in the attached Exhibit A.
