Restricted Target definition

Restricted Target shall have the meaning set forth in Section 2.5.
Restricted Target means any Candidate Target for which, on account of Exelixis' obligations to a Third Party with respect to such Target: (a) Exelixis cannot grant an exclusive license to P&U for such Target and/or (b) Exelixis cannot perform any further work within the Collaboration on such Target once the identity of such Target becomes known to Exelixis.
Restricted Target means a Target Candidate to which CuraGen is prevented from granting to Bayer the exclusive right under CuraGen Know-How or CuraGen Patent Rights to exploit Metabolic Program Drugs identified using such Target Candidate for the treatment of human diseases and conditions in the CFA.

Examples of Restricted Target in a sentence

  • If, as of the date of CureVac’s Target Notice for a Target, such Target is not listed on the Restricted Target List, then such Target will become a Reserved Target and will be added to the Reserved Target List subject to the Concurrent Reserved List Limits set forth in subsection (d) below.

  • CureVac shall have the right to remove a Target or replace a Target on the Reserved Target List with another Target, in accordance with the process specified in Section 4.2(b), provided (A) the total number of Targets on the Reserved Target List does not exceed the Maximum Targets at any one time; and (B) a newly nominated Target is not on the Restricted Target List.

  • The Restricted Target List will identify for each Target listed in the Restricted Target List whether the Target is subject to Third Party rights or is under development at Arcturus.

  • The Escrow Agent - on behalf of Acuitas - will review the Conversion Option Notice provided by BioNTech hereunder to determine whether or not any such proposed Target is on the Restricted Target List as of the date of such Option Conversion Notice.

  • Arcturus shall maintain at the Escrow Agent an updated monthly (as of the final day of each month) list of Targets that are subject to Pre-Existing Restrictions (the "Restricted Target List").


More Definitions of Restricted Target

Restricted Target means a target to which Millennium is prevented from granting to Bayer the exclusive right under Millennium Know-How or Millennium Patent Rights to exploit Small Molecule Drugs identified using such target for the treatment of all human diseases and conditions. A target is NOT a Restricted Target if (i) [**]; and (ii) Millennium is not prevented (by contract or otherwise) from granting exclusive rights under Millennium Know-How or Millennium Patent Rights to exploit Small Molecule Drugs identified using the target for the treatment of all human diseases and conditions.
Restricted Target means, subject to Section 3.4, a QT or CT with respect to which Millennium is prevented from granting to Bayer the exclusive or non-exclusive right (as set forth in Section 4.1 or Section 4.2, as applicable) under Millennium Know-How or Millennium Patent Rights to exploit Small Molecule Drugs identified using such target in the applicable Licensed Indication(s), including without limitation targets with entries in the "[**] (Indications)" column of EXHIBIT D or EXHIBIT E. A target is NOT a [**] if (a) genetic sequences or data from which Millennium identifies or annotates that particular target are derived from sources not exclusively owned by or licensed to Millennium (such as genetic sequences or data in the Public Domain or derived from the MBio-Lilly Collaboration); and (
Restricted Target means the Targets specifically set forth in Schedule 4 to the EvoGenix Agreement.

Notwithstanding the foregoing, [***]. 1.194 “Safety Switch Licensed Patents” means all Patents, including Patents that Cover [***], that (a) are Controlled by Autolus or any of its Affiliates, as of the Effective Date or during the Term, and (b) claim or Cover (i) the Safety Switch Licensed Technology, (ii) the Safety Switch Licensed Know- How, or (iii) the Exploitation of such Safety Switch Licensed Technology in a Safety Switch Licensed Product. 1.195 “Safety Switch Licensed Product” means any pharmaceutical or biologic product, in any form, that contains or incorporates any Safety Switch Licensed Technology. For the purposes of this Agreement, [***], and provided further that [***].
Restricted Target the meaning set forth in Section 6.4(d).
Restricted Target means (a) at any given time during the applicable License Option Period, any Target that is a Collaboration Target at such time, (b) at any given time during the applicable License Option Period, any Target that is a Tabled Target at such time, (c) at any given time during the Reserved Target Period, any Target that is a Reserved Target at such time or (d) for a period of [*] following the applicable License Option Effective Date, any Collaboration Target with respect to which Gilead exercised such License Option.
Restricted Target means the Targets specifically set forth in Schedule 4 hereto.
