Restricted Transfers definition

Restricted Transfers means either (i) a transfer of Personal Data from Customer to Pantheon; or (ii) an onward transfer of Personal Data from Pantheon to a Sub-Processor; in each case, where such transfer would be prohibited by Data Protection Laws and Regulations in the absence of the Standard Contractual Clauses or other transfer mechanism permitted by applicable Data Protection Laws and Regulations.
Restricted Transfers mean: (i) where the GDPR applies, a transfer of Customer Personal Data from the EEA to a country outside of the EEA which is not subject to an adequacy determination by the European Commission (an "EEA Restricted Transfer"); (ii) where the UK GDPR applies, a transfer of Customer Personal Data from the UK to any other country which is not subject to adequacy regulations pursuant to Section 17A of the United Kingdom Data Protection Act 2018 (a "UK Restricted Transfer"); and (iii) where the Swiss DPA applies, a transfer of Customer Personal Data to a country outside of Switzerland which is not included on the list of adequate jurisdictions published by the Swiss Federal Data Protection and Information Commissioner (a “Swiss Restricted Transfer”).
Restricted Transfers means transfer(s) of Controller Personal Data that are (a) subject to the European Data Protection Legislation; and (b) not PermiIed Transfers.

More Definitions of Restricted Transfers

Restricted Transfers means the transfer of Personal Data to a Third Country and includes transfers to Talkdesk and onward transfers from Talkdesk to Sub-processors.

Restricted Transfers is defined in Section 12.1 (
Restricted Transfers means a transfer of personal data from one Party to another, which transfer would be prohibited by applicable Data Protection Legislation in the absence of the relevant Restricted Transfer Agreement to be established under paragraph 6 of the DPA (or an agreement comparable thereto). There will not be a Restricted Transfer where: (a) the Data Importer is within a jurisdiction which has been deemed to provide an adequate level of data protection for the purposes of applicable data protection law; or (b) the transfer falls within the terms of an alternative safeguard or a derogation under applicable data protection law, including as set out in Article 46 and Article 49 GDPR respectively.
Restricted Transfers means any Processing (including transfers, international access and onward transfers) of Restricted Personal Data by Provider or any of its Subprocessors outside the relevant Origination Area.
Restricted Transfers means any transfer or series of transfers by any of Kxxxx, Hxxxxx Xxxxxxxxx (“Bxxxxxxxx”) or Dxx Xxxxx (“Sxxxx” and together with Kxxx and Bxxxxxxxx a “Principal Shareholder” ), which would cause such Principal Shareholder to own less than 50% of the number of shares of common stock held by such Principal Shareholder on the date hereof; provided however that a Restricted Transfer shall not include a transfer of shares of capital stock to an “affiliate” (as such term is defined in the Securities Exchange Act of 1934, as amended (the “Exchange Act”)) of such Principal Shareholder.
