Except with respect to the Restrictive Covenants or as provided in Section 6(i) below, Employee and the Company understand that this Agreement constitutes the entire agreement between them regarding the subject matters set forth herein and supersedes any previous oral or written communications, representations, understandings or agreements between them concerning the subject matter hereof, except for any applicable Prior CIC Agreement as set forth in Section 6(i).
Any breach (or threatened breach) by the Executive of the Executive’s obligations under the Restrictive Covenants, as determined by the Company Board or the Parent Board in its reasonable discretion, shall constitute a material breach of this Agreement.
The payments and benefits described in clauses (ii), (iii), (iv), (v) and (v) above shall immediately terminate, and the Company shall have no further obligations to Executive with respect thereto, if Executive materially breaches any provision of the Restrictive Covenants contained in Appendix B attached hereto.

Executive acknowledges and recognizes the highly competitive nature of the businesses of the Company and accordingly agrees, as a condition of Executive’s continued employment with the Company, to be bound by and comply with the Restrictive Covenants contained in Appendix B attached hereto and incorporated by reference herein.
