Restructuring Documents definition

Restructuring Documents means, collectively, the documents and agreements (and the exhibits, schedules, annexes and supplements thereto) necessary to implement, or entered into in connection with, this Plan, including, without limitation, the Plan Supplement, the Exhibits, the Plan Schedules, the Amended/New Organizational Documents, the Exit Facility Loan Documents, and the Plan Securities and Documents.
Restructuring Documents means all documents, agreements and instruments necessary to implement the Restructuring in accordance with this Agreement and the Term Sheet.
Restructuring Documents means the Contracts entered into by and among, inter alios, equity holders of the PRC Domestic Company, the JV, the PRC Domestic Company and other Group Companies (as the case may be) that provide Control to the JV over the PRC Domestic Company (and any other similar Contracts entered or to be entered into by the Group Companies through which a Group Company (the “Controller”) Controls (financially, operationally or otherwise) another Group Company (the “Controlled Company”) and the financial results for such Controlled Company shall be consolidated into the consolidated financial statements for the Company even though the Controller does not have any equity interest in the Controlled Company and designated as “Restructuring Documents” by the Company and the Investor), including without limitation the Fengshun Lubao Restructuring Documents, the PRC Domestic Company Restructuring Documents and the Youxin Yishouche Restructuring Documents.

  • Except as otherwise provided herein or therein, this Plan and the Restructuring Documents supersede all previous and contemporaneous negotiations, promises, covenants, agreements, understandings, and representations on such subjects, all of which have become merged and integrated into this Plan and the Restructuring Documents.

  • In the event that a provision of the Restructuring Documents or the Disclosure Statement (including any and all exhibits and attachments thereto) conflicts with a provision of this Plan or the Confirmation Order, the provision of this Plan and the Confirmation Order (as applicable) shall govern and control to the extent of such conflict.

  • After the Effective Date, the Reorganized Debtors may, subject to the terms and conditions of the Restructuring Documents, amend and restate their respective organizational documents as permitted by applicable law.

  • The Debtors and the Reorganized Debtors, as applicable, may also make such payments using Cash received from their subsidiaries through their respective consolidated cash management systems and the incurrence of intercompany transactions, but in all cases subject to the terms and conditions of the Restructuring Documents.

  • Except as otherwise expressly provided in the Restructuring Documents, the Reorganized Parent shall not be obligated to register the New Equity Interests under the Securities Act or to list the New Equity Interests for public trading on any securities exchange.


More Definitions of Restructuring Documents

Restructuring Documents has the meaning set out in the Restructuring Implementation Deed;
Restructuring Documents means the Restructuring Agreement and the Loan Agreement.
