Anyone who wishes to apply for New Shares under the Retail Entitlement Offer will need to apply in accordance with the instructions contained in the Retail Offer Booklet and the entitlement and acceptance form that will accompany it.
Any Institutional Offer Shares allocated to buyers within the Philippines will be re- allocated to the Trading Participants and Retail Offer for distribution by the Domestic Lead Underwriters and Bookrunners, based on mutual agreement between the International Bookrunners and Lead Managers, and the Domestic Lead Underwriters and Bookrunners, and the Company.
Any eligible retail shareholder who wishes to participate in the Retail Entitlement Offer should consider the Retail Offer Booklet in deciding whether to apply under that offer.
If by the end of the applicable Retail Offer Period, no public disclosure regarding a transaction with respect to the Retail Offered Securities has been made, and no notice regarding the abandonment of such transaction has been received by such Claimant, such transaction shall be deemed to have been abandoned and such Claimant shall not be in possession of any material, non-public information with respect to the Company or any of its Subsidiaries.
Notwithstanding the foregoing, if the Company desires to modify or amend, in any material respect, the terms and conditions of the Retail Offer prior to the expiration of the Retail Offer Period, the Company shall deliver to each Claimant a new Retail Offer Notice and the Retail Offer Period shall expire on the fifth (5th) Business Day after such Claimant’s receipt of such new Retail Offer Notice.
