None of the Mariner Entities has any liabilities which would impair or encumber title to, or materially adversely affect the Retained Facilities or their operations, whether absolute, contingent or fixed, liquidated or unliquidated, matured or not yet due, of any nature, including tax liabilities, other than liquidated, noncontingent liabilities incurred by the Mariner Entities in the ordinary course of their businesses.
All payments due from Third Party Payors for services rendered by the Retained Facilities on and after the Effective Time are to be received by the Subject Debtors and delivered to the SNH Entities.
With respect to each of the Retained Facilities, the SNH Entities shall have received such reports, surveys and opinions as they shall have determined are necessary or desirable, including the following: updated title reports, licensure and Medicare/Medicaid survey reports and updated appraisals; each such report, survey and opinion shall be satisfactory to the SNH Entities in their sole discretion.

Any Lexington Common Shares delivered upon a conversion of Notes shall be newly issued shares or treasury shares, shall be duly and validly issued and fully paid and nonassessable and shall be free from preemptive rights and free of any lien or adverse claim.
