Retained Facilities definition

Retained Facilities means the manufacturing, office, research and development, and warehouse facilities owned, leased or operated by Seller Parent or any of its Affiliates, other than the Facilities.
Retained Facilities shall have the meaning set forth in the preamble to this Agreement.
Retained Facilities means the manufacturing, office, research and development, and warehouse facilities owned, leased or operated by any member of the GSK Group, other than the Consumer Healthcare Facility, excluding any facilities expressly transferring pursuant to the BA Site NEBA or the Brazil ATFA.

  • Attached hereto as Exhibit C are examples (the “Examples”) of the manner in which the Building Base Rent, Land Base Rent, Percentage Rent and breakpoint for future Percentage Rent calculations should be allocated or, as applicable, calculated with respect to the Divested Facilities, the Retained Facilities and Belterra Park.

  • Each Mariner Entity has maintained or caused to be maintained insurance since commencement of its operations at each of the Retained Facilities, without any interruption of coverage, against liability, loss or casualty on all aspects of each Retained Facility's operations, including, but not limited to, its assets, personnel, employees, and residents, as well as appropriate malpractice insurance.


More Definitions of Retained Facilities

Retained Facilities means those facilities located at the Retained Sites and the Transferred Sites to be retained by a Dow Entity (other than a ▇▇▇▇▇▇ Holdco or a ▇▇▇▇▇▇ Subsidiary), as identified on Schedule 1.01(p).
