Retained Marks definition

Retained Marks means all (a) Trademarks containing or incorporating the terms MERCK, SCHERING, PLOUGH, ORGANON, BE WELL or MSD, or corporate trade dress or indicia licensed to Buyer under the Transitional Trademark License, (b) other Trademarks owned by Seller or its Affiliates (other than the Trademarks included in the Purchased Owned IP), (c) variations or acronyms of any of the foregoing, and (d) Trademarks confusingly similar to or dilutive of any of the foregoing.
Retained Marks shall have the meaning specified in Section 7.6(c).
Retained Marks means the name “Stericycle” and all other Trademarks owned by Seller and its Subsidiaries (other than the Group Companies) as of the Closing Date after giving effect to the Pre-Closing Business Transfers and all related registrations and applications; provided, however, that Retained Marks shall not include Trademarks that constitute Business Intellectual Property Rights.

Examples of Retained Marks in a sentence

  • Except as expressly provided in this Section 6.10, Buyer, the Company and their respective Affiliates may not in any way: (i) after the Closing Effective Time, identify, or suggest, any affiliation between either Buyer or the Company or any of their respective Affiliates on the one hand, and Seller or any of its Affiliates on the other hand; or (ii) use the Retained Marks.

  • Except as expressly provided in this Section 6.10 or required by Applicable Law, Buyer, the Company and their respective Affiliates may not in any way: (i) after the Closing Effective Time, identify, or suggest, any affiliation between either Buyer or the Company or any of their respective Affiliates on the one hand, and Seller or any of its Affiliates on the other hand; or (ii) use the Retained Marks.

  • To the extent that Transferors desire to remove and re-use any signage, panels, fixtures or personal property bearing or displaying the Retained Marks, the cost of such removal shall be borne by Transferors; otherwise, any such marks shall be removed and disposed at Transferee’s expense.

  • Transferors and Transferee agree that ownership of all intellectual property of Transferor, including the Retained Marks and Licensed Marks will remain the sole property of the respective Transferor and shall not be included in the Transferred Assets.

  • Retained Marks will appear on some of the assets of the Acquired Companies, including on signage throughout the real property and pipeline rights of way of the Acquired Companies, and on supplies, materials, stationery, brochures, advertising materials, manuals and similar consumable items of the Acquired Companies.


More Definitions of Retained Marks

Retained Marks has the meaning set forth in Section 9.6(a).
Retained Marks shall have the meaning ascribed to it in Section 6.10(a) of this Agreement.
Retained Marks means all business names, trade names, trademarks, trade dress and domain names of Seller Parent or any Affiliate of Seller Parent other than the Transferred Group, any derivative thereof, or any word that is confusingly similar thereto and, for the avoidance of doubt, shall include all business names, trade names, trademarks and domain names consisting of, or that include, the name “MEDICINES COMPANY” or “MEDCO”; provided, however, that the Retained Marks shall not include the business names, trade names, trademarks and domain names that are included in the Acquired Assets.
Retained Marks means any Trademarks of the Seller or one of its Affiliates or any contraction, abbreviation or simulation thereof.
Retained Marks has the meaning set forth in Section 6.20.
Retained Marks means any and all Trademarks and other source or business identifiers incorporating or including any Trademark not included in the Transferred IP, along with any variations or derivatives thereof and any names, marks, logos or other identifiers similar to any of the foregoing and not included in the Transferred IP. For the avoidance of doubt, the “Retained Marks” include the Trademarks set forth on Section 2.03(f) of the Parent Disclosure Schedule.
Retained Marks means the names, trademark service marks and trade names set forth on Schedule 7.7.
