Retained Marks definition

Retained Marks shall have the meaning specified in Section 7.6(c).
Retained Marks means all (a) Trademarks containing or incorporating the terms MERCK, SCHERING, PLOUGH, ORGANON, BE WELL or MSD, or corporate trade dress or indicia licensed to Buyer under the Transitional Trademark License, (b) other Trademarks owned by Seller or its Affiliates (other than the Trademarks included in the Purchased Owned IP), (c) variations or acronyms of any of the foregoing, and (d) Trademarks confusingly similar to or dilutive of any of the foregoing.
Retained Marks means the name “Stericycle” and all other Trademarks owned by Seller and its Subsidiaries (other than the Group Companies) as of the Closing Date after giving effect to the Pre-Closing Business Transfers and all related registrations and applications; provided, however, that Retained Marks shall not include Trademarks that constitute Business Intellectual Property Rights.

  • As of the Closing, except as expressly set forth in this Section 5.21, the Group Companies shall have no right, title, interest, license or any other right whatsoever in the Retained Marks, and neither Buyer nor any of the Group Companies have, pursuant to the Transaction Documents, obtained any such right, title, interest, license or other right in the Retained Marks.

  • During such period, Buyer and the Group Companies shall have the right to continue to use such materials solely in the manner such materials and solely to the extent such Retained Marks were used in the operation of the Business prior to the Closing, and solely for purposes of transitioning the operation of the Business from the control of Seller to the control of Buyer.

Retained Marks has the meaning set forth in Section 6.20.
Retained Marks means all business names, trade names, trademarks, trade dress and domain names of Seller Parent or any Affiliate of Seller Parent, any derivative thereof, or any word that is similar in sound or appearance to any of the foregoing or is otherwise confusingly similar thereto and, for the avoidance of doubt, shall include all business names, trade names, trademarks and domain names consisting of, or that include, the name “MEDICINES COMPANY” or “MEDCO”; provided, however, that the Retained Marks shall not include the business names, trade names, trademarks and domain names that are included in the Acquired Assets.
Retained Marks shall have the meaning ascribed to it in Section 6.10(a) of this Agreement.
Retained Marks means any Trademarks of the Seller or one of its Affiliates or any contraction, abbreviation or simulation thereof.
