Retention Bonus means an incentive bonus provided under
Retention Bonus means the Executive's benefit, as described in Subsection 2.1 of this Agreement.
Retention Bonus means the bonus for which a Participant is eligible pursuant to Article 5 of this Plan.
Examples of Retention Bonus in a sentence
The Retention Bonus will be paid within thirty (30) days of the end of the Current Term; provided, that upon a termination by Executive with Good Reason or a termination by the Company without Cause, the Retention Bonus shall be paid within thirty (30) days following such Termination Date.
More Definitions of Retention Bonus
Retention Bonus means a retention bonus payable to a Participant pursuant to the terms of this Plan.
Retention Bonus shall have the meaning set forth in Paragraph 4 below.
Retention Bonus means the amount equal to:
(a) if the Executive has remained continuously employed by the Company through the date of a Change in Control or Going Private Transaction that occurs during the first eighteen (18) months immediately following the Effective Date, the greater of: (i) the amount equal to twelve (12) months of Base Salary in effect at the time of the payment pursuant to Section 1.2; or (ii) the amount equal to twelve (12) months of Base Salary in effect as of the consummation of any Change in Control or Going Private Transaction; or
(b) if the Executive has remained continuously employed by the Company through the earlier of: (i) the date of a Change in Control or Going Private Transaction that occurs after the eighteen (18) month anniversary of the Effective Date; or (ii) the second year anniversary of the Effective Date, the greater of: (A) the amount equal to sixteen (16) months of Base Salary in effect at the time of the payment pursuant to Section 1.2; or (B) the amount equal to sixteen (16) months of Base Salary in effect as of the consummation of any Change in Control or Going Private Transaction; or
(c) if payment to the Executive is due as a result Section 1.1(c)(ii) and the Executive’s termination of employment occurs during the first eighteen (18) months immediately following the Effective Date, the product of: (i) the greater of: (A) the amount equal to twelve (12) months of Base Salary in effect at the time of the payment pursuant to Section 1.2; or (B) the amount equal to twelve (12) months of Base Salary in effect as of the consummation of any Change in Control or Going Private Transaction; multiplied by (ii) the quotient of: (1) the number of days commencing on the Effective Date and ending on the date of the Executive’s termination of employment; divided by (2) either: (y) in the event of a Change in Control or Going Private Transaction, the number of days commencing on the Effective Date and ending on the date of the Change in Control or Going Private Transaction, respectively; or (z) in the event a Change in Control or Going Private Transaction does not occur prior to the second anniversary of the Effective Date, then 730; or
(d) if payment to the Executive is due as a result Section 1.1(c)(ii) and the Executive’s termination of employment occurs at anytime after the eighteen (18) month anniversary of the Effective Date and before the two year anniversary of the Effective Date, the product of: (i) the greater of: (A) the amount ...
Retention Bonus means the amount equal to:
(a) if the Executive has remained continuously employed by the Company through the date of the Signing and the Signing occurs on or before July 27, 2006, an amount equal to twelve (12) months of Base Salary in effect at the time of the payment pursuant to Section 1.2; or
(b) if the Executive has remained continuously employed by the Company through the earlier of: (i) the date of the Signing which Signing occurs after July 27, 2006, or (ii) January 27, 2007, an amount equal to sixteen (16) months of Base Salary in effect at the time of the payment pursuant to Section 1.2; or
(c) if payment to the Executive is due as a result of Section 1.1(b) and the Executive’s termination of employment occurs on or before July 27, 2006, the product of: (i) the amount equal to twelve (12) months of Base Salary in effect at the time of the Executive’s termination of employment; multiplied by (ii) the quotient of: (A) the number of days commencing on January 27, 2005 and ending on the date of the Executive’s termination of employment; divided by (B) either: (1) in the event of a Signing, the number of days commencing on January 27, 2005 and ending on the date of the Signing; or (2) in the event a Signing does not occur prior to January 27, 2007, then 730; or
(d) if payment to the Executive is due as a result of Section 1.1(b) and the Executive’s termination of employment occurs at anytime after July 27, 2006, the product of: (i) the amount equal to sixteen (16) months of Base Salary in effect at the time of the Executive’s termination of employment; multiplied by (ii) the quotient of: (A) the number of days commencing on January 27, 2005 and ending on the date of the Executive’s termination of employment; divided by (B) either: (1) in the event of a Signing, the number of days commencing on January 27, 2005, and ending on the date of the Signing; or (2) in the event a Signing does not occur prior to January 27,2007, then 730.
Retention Bonus means the amount equal to:
(a) if the Executive has remained continuously employed by the Company through the earlier of: (i) the date of the Signing and the Signing occurs on or before July 27, 2006, or (ii) the date a Change in Control occurs and such date is on or before July 27, 2006, an amount equal to twelve (12) months of Base Salary in effect at the time of the payment pursuant to Section 1.2; or
(b) if the Executive has remained continuously employed by the Company through the earlier of: (i) the date of the Signing, which Signing occurs after July 27, 2006; (ii) the date a Change in Control occurs and such date is after July 27, 2006; or
Retention Bonus is defined in Section 4.3(a). ---------------
Retention Bonus means the SARs together with the cash bonus that the Company has granted and agreed to pay to the Executive pursuant to Article 2 upon the expiration of the Retention Period or the earlier occurrence of a Change in Control, as the case may be.
