Notwithstanding the above, if you are in the employ of the Company and there is a Change in Control following a Triggering Event during the term of this Letter Agreement, any remaining Retention Bonuses will be paid to you as soon as practicable, but in no event later than thirty days, following such Change in Control.
The amount of such Retention Bonuses shall be in an amount to be determined by Agent, in its discretion, and shall be payable within thirty (30) days after the Sale Termination Date, and shall be processed through Merchant’s payroll system.
Finally, the Executive shall be entitled to receive special retention bonuses (the "Retention Bonuses") in the amounts and on the dates set forth in Exhibit A hereto, if the Executive remains employed by the Company on those dates.
