Retention Bonuses definition

Retention Bonuses shall have the meaning set forth in Section 6.4(b).
Retention Bonuses has the meaning ascribed to it in Section 1.7(l).
Retention Bonuses means certain retention bonuses payable to the Business Employees pursuant to retention agreements entered into between Seller and such employees prior to the Closing (including those set forth on Schedule 3.11(a)(xviii) of the Seller Disclosure Letter), which bonuses will be paid by Seller in connection with the Closing; provided, however, any retention bonuses payable pursuant to retention agreements entered into between Seller or any of its Affiliates and employees at the written request of Purchaser shall not be included in this definition.

Examples of Retention Bonuses in a sentence

  • Notwithstanding the above, if you are in the employ of the Company and there is a Change in Control following a Triggering Event during the term of this Letter Agreement, any remaining Retention Bonuses will be paid to you as soon as practicable, but in no event later than thirty days, following such Change in Control.

  • The amount of such Retention Bonuses shall be in an amount to be determined by Agent, in its discretion, and shall be payable within thirty (30) days after the Sale Termination Date, and shall be processed through Merchant’s payroll system.

Retention Bonuses has the meaning set forth in Section 6.7(g).
Retention Bonuses means the retention and the retention and transaction bonuses payable to Outsourced Personnel pursuant to the Agreements set forth in Schedule A-5.
Retention Bonuses means all incentive, retention, transaction or change in control bonuses to any Business Employee pursuant to an arrangement, including those set forth on Schedule 1.1(a)(vii) of the Disclosure Letter, that is payable as a direct result of the execution and delivery of this Agreement or the consummation of the transactions contemplated by this Agreement (including the Ali Transaction), including Employer Side Taxes payable by a Purchased Entity in connection therewith.
Retention Bonuses means all change in control or retention bonuses payable to Current Business Employees in conjunction with the transactions contemplated by this Agreement, including those certain retention bonuses payable to Current Business Employees pursuant to retention agreements entered into between Seller or its Affiliates and such employees prior to the date hereof in connection with the transactions contemplated by this Agreement.
Retention Bonuses means any retention bonuses and the additional deferred compensation (but excluding any Sales Bonuses) that are (A) (i) promised by any Acquired Company to Employees at any time prior to the Closing, and (ii) payable to such Employee at or following the Closing solely as a result of the consummation of the transactions contemplated by this agreement or solely as a result of remaining employed by an Acquired Company for a specified period of time (or no period of time) following the consummation of the transactions contemplated by this Agreement, and (B) other deferred compensation payable at Closing and which has been elected by the Employee recipient to be transferred to the Senior Executive Plan in lieu of payment at or following the Closing, as appropriate.
Retention Bonuses means retention bonuses paid to Retained Employees.
Retention Bonuses means all amounts due to any employees of the Group Companies pursuant to the Retention Bonus Agreements set forth on Schedule 3.10.
