If any Creditor (a “Non-Returning Secured Creditor”) fails to tender payment of its Returned Amount Share, then the Collateral Agent is hereby expressly granted the right thereafter to, and shall, withhold from any distributions otherwise payable to such Non-Returning Secured Creditor an amount equal to its Returned Amount Share remaining unpaid at such time of receipt of such distributions and apply such amount withheld in satisfaction of such Returned Amount Share.
The Collateral Agent shall also have the right to collect from such Non-Returning Secured Creditor, or withhold from any distributions under Section 5.8 to otherwise be made to such Non-Returning Secured Creditor, the Collateral Agent’s reasonable costs and expenses incurred in collecting such Non-Returning Secured Creditor’s Returned Amount Share.
The US Obligations and/or the UK Obligations, as appropriate, automatically shall be reinstated for the purposes of this Intercreditor Agreement to the extent of the Returned Amount.
Any amounts distributed to LNG Investments pursuant to Section 5.1(b)(iii) and (iv) (the "Returned Amount") shall be added to LNG Investments' required capital contribution under Section 3.4 and LNG Investments will contribute such capital to the Partnership prior to the General Partner making any other capital call pursuant to Section 3.4.
In the event that the Seller shall be required, as the result of any bankruptcy or insolvency proceeding of the Lessee or otherwise, to return to the Lessee or pay over to any court or other entity an amount (a "Returned Amount") that was distributed pursuant to Section 3 hereof, the Purchaser shall on demand from the Seller pay to the Seller so much of the Returned Amount that was distributed to the Purchaser.
