Returned Capital definition

Returned Capital means, for any Investor, any part of any Capital Contribution that is redistributed to such Investor and is, in accordance with the terms of the Operating Agreement, added back to such Investor’s Unfunded Commitment; in each case which amount has been set forth as “Returned Capital” on a certificate of Borrower delivered to Administrative Agent.
Returned Capital means, for any Investor, at any time, any amounts distributed to such Investor that are subject to recall as a Capital Contribution pursuant to the applicable Constituent Document of the Initial Borrower or, as applicable, of a Pooled Vehicle Investor. Any amount of Returned Capital distributed to an Investor shall appear on the quarterly account statement (or other similar statement) delivered to such Investor.
Returned Capital means, with respect to any Investment, Cash Equivalents received by a Company with respect to such Investment by way of dividend, distribution, repayment of loan or advance, or other return of capital, as the case may be, in each case which amount has been set forth as “Returned Capital” on a certificate of a Responsible Officer of the MLP delivered to the Administrative Agent in connection with such returned capital; provided, that the failure of such Responsible Officer to deliver such certificate to the Administrative Agent shall result in the exclusion of such amount from “Returned Capital.”

Examples of Returned Capital in a sentence

  • The effective date on which an Investor’s Unfunded Capital Commitment increases by Returned Capital for purposes of this Credit Agreement shall be the date on which the Borrowers have delivered to the Administrative Agent duly completed copies of the items required by this Section 8.19.

  • Any Returned Capital to be distributed shall be distributed to the Partners in proportion to their respective Interests in the class or classes to which such capital is being distributed.

  • The effective date on which an Investor’s Unfunded Capital Commitment increases by Returned Capital for purposes of this Credit Agreement shall be the date on which such Borrowers in such Fund Group have delivered to the Administrative Agent duly completed copies of the items required by this Section 8.19.

  • To the extent that the Company is required to return any Returned Capital related to a Sponsored Fund pursuant to the governing documents of such Sponsored Fund or related Underlying Manager, each Member shall return such Returned Capital in the same proportions that they were distributed to such Member pursuant to Section 5.1(a).

  • Such Returned Capital shall not be distributed in accordance with Section 8.1(b) except as permitted under the Credit Agreement.


More Definitions of Returned Capital

Returned Capital means amounts received by the Company that, in the reasonable determination of the Board, represent a return of capital provided by the Company to a Sponsored Fund or earnings allocated to the Company on a pro rata basis (not taking into account any Revenue Share Proceeds or any earnings related to any Revenue Share Proceeds that have not been withdrawn by, or distributed to, the Company from a Sponsored Fund or an Underlying Manager) with other investors in such Sponsored Fund based on the Company’s capital in such Sponsored Fund, together with any amounts earned on such received amounts while retained by the Company (and reduced by any amounts lost on any such received amounts while retained by the Company).
Returned Capital means, with respect to any purchase or other acquisition of Common Shares by the Company on any date, the product of (i) the aggregate number of such Common Shares so purchased or otherwise acquired on such date, multiplied by (ii) the Basis as of such date.
Returned Capital shall have the meaning given to such term in Section 6.3.1(f) of this Agreement.
Returned Capital means (a) the amount of any Subsequent Closing True-Up distributed to Partners in accordance with Section 3.3(c) hereof and (b) the amount of any Net Distributable Cash which represents the return of the Partnership’s invested capital in any Investment that has been disposed of or refinanced.
Returned Capital means the portion of Net Distributable Cash distributed to Partners that represents the return of a Partner's Invested Capital in any Investment.
