Rights Certificate definition

Rights Certificate shall have the meaning set forth in Section 3(a) hereof.

Rights Certificate means a certificate substantially in the form attached hereto as Exhibit B.

Rights Certificate means the certificates representing the Rights after the Separation Time which shall be substantially in the form attached hereto as Exhibit A.

Examples of Rights Certificate in a sentence

• The Rights Certificate, with or without other Rights Certificates, upon surrender at any of the offices of the Rights Agent designated for such purpose, may be exchanged for another Rights Certificate or Rights Certificates of like tenor and the date evidencing an aggregate number of Rights equal to the aggregate number of Rights evidenced by the Rights Certificate or Rights Certificates surrendered.

• No Rights Certificate shall be countersigned in lieu of or in exchange for any Rights Certificates cancelled as provided in this Section 2.9, except as expressly permitted by this Agreement.

• The Rights Agent is hereby authorized to countersign and to deliver, in accordance with the terms of this Agreement, the Rights Certificate required to be issued pursuant to the provisions of this Section 4, and the Company, whenever required by the Rights Agent, will supply the Rights Agent with Rights Certificate duly executed on behalf of the Company for such purpose.

• The holder of any Rights represented by a Rights Certificate which is submitted to the Rights Agent upon exercise or for registration of transfer or exchange which does not contain the necessary certifications set forth in the Rights Certificate establishing that such Rights are not void under this subparagraph 3.1(b) shall be deemed to be an Acquiring Person for the purposes of this subparagraph 3.1(b) and such Rights shall become null and void.

• The Rights Certificate so cancelled shall be delivered by the Rights Agent to the Company from time to time upon request.
