Rights Certificate definition

Rights Certificate shall have the meaning set forth in Section 3(a) hereof.

Rights Certificate means the certificates representing the Rights after the Separation Time, which shall be substantially in the form attached hereto as Attachment 1;

Rights Certificate means a certificate substantially in the form attached hereto as Exhibit B.

• This Rights Certificate shall not be valid or obligatory for any purpose until it shall have been countersigned by the Rights Agent.

• The Corporation, the Rights Agent and any agent of the Corporation or the Rights Agent may deem and treat the Person, in whose name a Rights Certificate (or, prior to the Separation Time, the associated Common Share certificate) is registered as the absolute owner thereof and of the Rights evidenced thereby for all purposes whatsoever.

• This Rights Certificate, with or without other Rights Certificates, upon surrender at any of the offices of the Rights Agent designated for such purpose, may be exchanged for another Rights Certificate or Rights Certificates of like tenor and date evidencing an aggregate number of Rights equal to the aggregate number of Rights evidenced by the Rights Certificate or Rights Certificates surrendered.
