Rights Offering Shares definition

Rights Offering Shares means, collectively, the shares of New Common Stock issued in the Rights Offering.
Rights Offering Shares has the meaning given to such term in the recitals hereof.
Rights Offering Shares means the New Common Interests purchased via the exercise of Subscription Rights (including oversubscription rights) pursuant to the Rights Offering Procedures.

  • No part of the proceeds of the purchase of Rights Offering Shares will be used (a) to purchase or carry any margin stock or to extend credit to others for the purpose of purchasing or carrying any margin stock, or (b) for any other purpose, in each case, in violation of or inconsistent with any of the provisions of any regulation of the Board of Governors, including, without limitation, Regulations T, U and X thereto.

Rights Offering Shares means the 240,339,302 Class B Shares offered in the RightsOffering.
