• Parent, the Surviving Corporation and the Paying Agent shall cooperate with each other and with the former holders of Common Shares, Performance Restricted Stock Units, Restricted Stock Rights or Options in the collection, preparation and filing of any forms or other documentation relating to any claim of exemption or relief from any requirement to withhold so as to eliminate or minimize to the greatest extent possible any such requirement.

• In the case of any Rights or Options which expire by their terms not more than 30 days after the date of issue thereof, no adjustment of the Series A Preferred Conversion Price shall be made (except as to shares of Series A Preferred Stock converted in such period) until the expiration or exercise of all such Rights or Options, whereupon such adjustment shall be made in the same manner provided above.

Rights or Options means warrants, options or other rights to purchase or acquire shares of Common Stock or Convertible Securities other than (A) options, warrants or rights therefor that have been issued, or are reserved for issuance, to employees, officers, or directors of, or contractors, consultants or advisers to, the Corporation or any Subsidiary pursuant to stock purchase or stock option plans, stock bonuses or awards, warrants, contracts or other arrangements (collectively, the "Awards") that are approved by (i) one or more officers of the Corporation to whom authority to grant the Awards has been delegated in accordance with the Corporation's applicable equity incentive plan and which Award(s) in question are issued to a person who is not then a Director of the Corporation or officer of the Corporation who performs policy-making functions for the Corporation or (ii) the Board of Directors of the Corporation and (B) shares of Common Stock or options, warrants or rights therefor issued to equipment lessors, real estate lessors, banks and other financial institutional lenders to, the Corporation or any Subsidiary, and to entities in connection with a contractual relationship of joint venture or strategic partnering (as such relationship is so determined by the Board in good faith on a case-by-case basis), in each case pursuant to stock purchase agreements or stock warrants that are approved by the Board.

Rights or Options means warrants, options or other rights to purchase or acquire shares of Common Stock or Convertible Securities, other than: (a) warrants, options or other rights granted or issued hereafter to employees, officers, directors, contractors, consultants or advisers to, Company or any Company subsidiary pursuant to incentive agreements, stock purchase or stock option plans, contracts or other arrangements that are approved by the Company board of directors; or (b) warrants, options or other rights issued or issuable to parties that are providing Company with equipment leases, real property leases, loans, credit lines or similar transactions, under arrangements, in each case, approved by the Company board of directors.

Rights or Options means warrants, options or other rights to purchase or acquire shares of Common Stock or Convertible Securities, other than (i) options to purchase up to 100,000 shares of Common Stock (and the issuance of shares of Common Stock issuable upon exercise of such Options) issued pursuant to the Corporation's Amended and Restated 1998 Directors Stock Plan, the Corporation's 1998 Stock Incentive Plan, the Corporation's Non-Qualified Stock Option Agreement, or the Corporation's Stock Incentive Plan to current employees of the Corporation or its Subsidiaries with a per share exercise price equal to or greater than the fair market value of one share of Common Stock on the date of grant, (ii) Options to purchase up to 100,000 shares of Common Stock (and the issuance of shares of Common Stock issuable upon exercise of such Options) issued pursuant to the Corporation's Amended and Restated 1998 Directors Stock Plan, the Corporation's 1998 Stock Incentive Plan, the Corporation's Non-Qualified Stock Option Agreement, or the Corporation's Stock Incentive Plan to employees of the Corporation or its Subsidiaries hired after the Closing Date with an exercise price per share equal to or greater than the fair market value of one share of Common Stock on the date of grant and (iii) warrants to purchase up to 1,750,000 shares of Common Stock issued in lieu of the issuance of Common Stock pursuant to the terms of the Senior Note Purchase Agreement (the "Note Purchase Warrants").

Rights or Options means warrants, options or other rights to purchase or acquire shares of Common Stock or Convertible Securities, other than (i) options to purchase up to 8,000,000 shares of Common Stock (and the issuance of shares of Common Stock issuable upon exercise of such options), issued pursuant to the Corporation’s Stock Plans, (as such amounts may be adjusted for the events listed in subparagraph 5(g)), with a per share exercise price equal to or greater than the Fair Market Value per share of the Common Stock on the date of grant, provided that, any amount over 8,000,000 shares may be granted under this clause (i) but only to the extent that the stockholders of the Corporation have approved any increase in the authorized number of shares or other awards under the Stock Plans and a majority of the

Amended and Restated (1994) Stock Option Plan; (viii) Transcisco Industries, Inc. Directors' Stock Option Plan; (ix) Transcisco Industries, Inc. Stock Purchase Plan; and (x) Rights Agreement dated March 11, 1999, as amended by Amendment No. 1 dated August 12, 2001 and Amendment No. 2 dated October 26, 2001.
