ROFO Assets definition

ROFO Assets means the assets listed on Schedule V to this Agreement.

ROFO Assets means (1) any asset, group of assets or business acquired or constructed by a Sponsor Entity pursuant to Section 2.2(d) or Section 2.2(e) and (2) the assets listed on Schedule 5.1(a) to this Agreement.

ROFO Assets has the meaning given such term in Section 6.2(a).

• Section 2.1 Notice of Transaction Related to ROFO Assets and Negotiation of Definitive Terms for Transaction.

• Any Offer shall specify the cash purchase price at which the Member would be willing to acquire the ROFO Assets and all other material terms and conditions of such purchase; provided, that with respect to any ROFO Assets constituting Wireless Backhaul and Transport capacity or assets, the Member may propose an exchange of capacity or assets in lieu of a cash purchase price.

• If the Partnership submits a ROFO Response within the ROFO Review Period, the Partnership and the Transferring Owner shall negotiate, in good faith, the terms of the purchase and sale of the ROFO Assets for 60 days following the receipt of the ROFO Response (the “ROFO Negotiation Period”) by the Transferring Owner.

• The ROFO Response shall set forth the terms and conditions (including the purchase price the Partnership proposes to pay for the ROFO Assets and the other terms of the purchase) pursuant to which the Partnership would be willing to enter into a binding agreement for the Proposed Transaction.

• If no ROFO Response is delivered by the Partnership within the ROFO Review Period, then the Partnership shall be deemed to have waived its right of first offer with respect to the ROFO Assets subject to the ROFO Notice, subject to Section 4.3(c).

More Definitions of ROFO Assets

ROFO Assets means the assets listed on Schedule V to this Agreement. “ROFO Governmental Approval Deadline” is defined in Section 6.2(c). “ROFO Notice” is defined in Section 6.2(a).

ROFO Assets has the meaning set forth in Section 3.1.

ROFO Assets means the Retained Undivided Interest and/or the Retained Other Assets, as the case may be, subject to the right of first offers provided in Article IV of this Agreement.

ROFO Assets means the assets included on Schedule I hereto, and “ROFO Asset” means any of the ROFO Assets.

ROFO Assets means all of the assets owned as of the Effective Date and all assets acquired in the future by each of Fund C, Fund E, Fund F, Fund G and Fund H.

ROFO Assets as defined in Section 14.9[a].

ROFO Assets means the assets listed on Schedule 5.1 of this Agreement.
