ROFR Price definition

ROFR Price has the meaning set forth in Section 7.3.

ROFR Price has the meaning given such term in Section 5.02(b).

ROFR Price means the Margin Call Price or Non-Margin Call Closing Price, as applicable.

Examples of ROFR Price in a sentence

• The price per share of the Noticed Shares purchased pursuant to this Section 7.3(h) shall be the sum of the ROFR Price and an amount equal to 3.0% of the ROFR Price (the “Premium”); provided that in no event shall the aggregate Premium be less than $10.0 million or more than $15.0 million.

• At the ROFR Closing, Holdings shall pay to the Member(s) (including any Permitted Transferee(s)) comprising the Seller (i) any portion of the ROFR Price that was required to be paid in cash in the manner provided in Section 7(b)(i)(C), as and if applicable, and (ii) deliver certificate(s) registered in the name of each Seller for the number of shares of Low Vote Stock required to be delivered in payment of the portion of the ROFR Price payable in Low Vote Stock.

• To exercise the right to purchase the ROFR Shares, the Preferred New Investor(s) must timely deliver written notice to the Investor within the ROFR Exercise Period confirming the irrevocable commitment of the Preferred New Investor(s) to purchase all of the ROFR Shares for the ROFR Price and subject to the ROFR Terms.

• The purchase price for the ROFR Shares and Remaining Shares to be purchased by an Eligible Non-Investor Purchaser or Eligible Investor Purchaser exercising its Right of First Refusal under this Agreement will be the ROFR Price, and will be payable as set forth in Section 3.2(b)(vi) hereof.

ROFR Price shall have the meaning specified in Section 2.3(b).

ROFR Price means (a) with respect to any cash consideration to be paid for Transfer Shares in a Proposed MJ Disposition to a non-Affiliated third party in sales not conducted on the open market, the price per Transfer Share at which such non-Affiliated third party has agreed to

ROFR Price means, in respect of any Delivery Date, the amount specified in Column <*> of Table 1 of Section 2.1 for that Delivery Date;

ROFR Price means, with respect to the applicable ROFR Offer Shares, the mean of the opening and closing prices of the Common Shares, in each case as quoted by the New York Stock Exchange, on the date of delivery of the ROFR Notice.
