To the extent required by Applicable Law, the Company may deduct, withhold, charge or levy, any Taxes imposed by any Governmental Authority on the Company or any of its Affiliates, or otherwise required to be withheld, in respect of any payment made by the Company to the Royalty Holder or any of its Affiliates under this Royalty Agreement.
All Royalty payments must be made in United States dollars without demand, notice, set- off, or reduction, via the transfer of immediately available funds to such bank account as the Royalty Holder may nominate in writing to the Company from time to time.
If such audit determines that there has been a deficiency or an excess in the payment made to the Royalty Holder, such deficiency or excess will be resolved either by adjusting the next Quarterly Royalty payment due or by payment being made in the amount of such deficiency by the Company to the Royalty Holder or in the amount of such excess by the Royalty Holder to the Company if such audit is completed following the termination of this Royalty Agreement.
The Royalty Holder may convey or assign all or any portion of the Royalty upon 30 days prior written notice to the Company.
