Each Assumed Unit shall be converted into an award to receive that number of shares of Parent Common Stock equal to the product obtained by multiplying (1) the number of shares of Company Common Stock subject to such Assumed Unit immediately prior to the Effective Time, by (2) the RSU Exchange Ratio, rounded down, if necessary, to the nearest whole share of Parent Common Stock.
Following the Closing, Parent shall grant and issue Parent RSUs (after application of the RSU Exchange Ratio) in respect of stock options, stock grants, restricted stock units or other direct or indirect rights to acquire such securities that were approved by the board of directors of the Company prior to the Closing in connection with the C Acquisition (the “Approved C Acquisition Equity Awards”).
