The provisions of this Article 35 shall continue throughout the Term, and any transferee who takes leasehold title to the Premises from, by or through Tenant shall take title to the Premises subject to Landlord’s rights under this Article 35, and notwithstanding that Landlord may have rejected any prior Sale Offer Notice or notices.
The Shares Sale Offer Notice shall disclose in reasonable detail the amount of EQY Shares proposed to be sold (the “First Offered EQY Shares”), the price per EQY Share (the “Share Price”) and any other material terms and conditions relating to the proposed sale.
Such communication shall, when taken in conjunction with the Shares Sale Offer Notice, be deemed to constitute a valid, legally binding and enforceable agreement for the sale and purchase of such First Offered EQY Shares on the terms and conditions contained in the Shares Sale Offer Notice.
If Supplier timely delivers a Sale Exercise Notice, such purchase shall be made pursuant to a sale and purchase agreement mutually agreed upon by the parties and unless the parties otherwise agree in writing, such purchase shall be completed (the “Sale RFO Closing”) on a date that is not later than one hundred eighty (180) days following the delivery of the Sale Offer Notice (subject to any Consents of a Governmental Body that are required to consummate the contemplated transactions).
If Landlord accepts Tenant’s Sale Offer in writing, Tenant and Landlord shall enter into a purchase agreement on the terms and conditions contained in the Sale Offer Notice with the closing to occur not later than one hundred sixty (160) days after the date of Tenant’s Sale Offer Notice.
For the avoidance of doubt, LIH may not submit a Shares Sale Offer Notice unless it has a good faith intention of selling such First Offered EQY Shares to a third party in an arm’s length transaction.
At any time during the applicable period described in Section 3.4(c) following the date the Shares Sale Offer Notice is received by the Gazit Group (the “Shares Offer Period”), the Gazit Group may make an election (the “Gazit Share ROFO” and together with the Gazit DRS ROFO, the “Gazit ROFOs”) to purchase all or a portion of the First Offered EQY Shares by delivering a written notice of its election to purchase the First Offered EQY Shares to LIH (the “Shares First Offer Election”).
Landlord shall have sixty (60) days after receipt of the Sale Offer Notice in which to notify Tenant if it unconditionally accepts Tenant’s Sale Offer on the terms and conditions contained in the Sale Offer Notice.
At the Sale RFO Closing, Supplier shall pay the Proposed Sale Price set forth in the Sale Offer Notice unless otherwise agreed to by Purchaser.
Within thirty (30) days of receipt of the Minority Member Sale Offer Notice, the Bank shall respond in writing to accept, decline or negotiate the terms of the Minority Member Sale Offer Notice and to establish Closing, which shall not be later than sixty (60) days from the Bank’s written acceptance of the Minority Member Sale Offer.
