Sales Documents definition

Sales Documents means, in the case of a negotiated sale, that certain bond purchase contract or other agreement for the purchase of one or more Series of 2017 Authorization Bonds between the District and the Underwriters for such Series or, in the case of a competitive sale, the notice of sale, bid form and other documents providing for the sale of one or more Series of 2017 Authorization Bonds by the District to the Underwriters.
Sales Documents means any quotation, proposal, statement of work (“SOW”), order confirmation, order acceptance or invoice in any case issued in writing and signed (including via email or electronically) by an authorized representative of Seller. Any documents attached to the Sales Documents, such as drawings, data concerning weights and measures, are approximates only unless specifically marked as binding. Buyer’s purchase of (i) Products (defined below) from Seller and/or (ii) any Services (defined below) Seller provides will be governed solely by these Terms and the Sales Documents (collectively, the “Contract”). In no event will Buyer’s terms in any purchase order or otherwise apply to, nor will Buyer’s proposed additional or different terms modify, the Contract unless Seller expressly includes the proposed terms in the Sales Documents. Seller hereby objects to and rejects any additional or different terms or conditions proposed by Buyer or contained in any purchase order, commercial document or other correspondence from Buyer, regardless of any knowledge Seller may have of such terms, and such terms will not bind Seller or be applicable to the transaction (even if Buyer’s purchase order is referenced in the Sales Documents). If any of these Terms conflict with the Sales Documents, the specific terms in the applicable Sales Documents will prevail over these Terms. The applicable terms of any revised or later Sales Document will control over such terms in a prior, similar Sales Document. No other terms or changes, modifications, amendments or waivers of any terms in a Contract will apply to Seller unless in writing and signed by an authorized officer of Seller.
Sales Documents means any document, print or digital, provided by Seller to Purchaser in the purchase and sales process for Products, including but not limited to proposals, offers, quotations, invoices, documents confirming, ac- knowledging, or accepting an order (“Order Confirmation”) and shipping documents. If the parties have signed a contract applicable to the sale of certain Products, the terms of such contract shall prevail to the extent they are inconsistent with these Terms or such contract explicitly states that. No oral side agreement shall have effect unless agreed upon in a writing.

  • The recovery of any judgment by the Authority or the levy of execution under any judgment shall not affect in any manner or to any extent, liens, pledges, or any rights, remedies or powers of the Authority under any of the Credit Sales Documents or with respect to any guaranty or any pledge, but such liens and pledges, and such rights, remedies and powers of the Authority shall continue unimpaired as before.

Seller shall have the right to make any changes to the Products or Services which are necessary to comply with any applicable law or safety requirement or which do not materially affect the nature or quality of the Services or the Products.
