• The Company shall not directly or indirectly use or permit to be used any funds of, or received by, contribute or otherwise make available such funds directly or indirectly to any person or entity (whether or not related to the Company) for the purposes of, or with the effect of, financing the activities of any person or entity which is a Sanctions Restricted Person in a manner that would be in breach of any Sanctions Laws and Regulations.

• Non-Compliance Employees shall immediately contact the Legal and Compliance Officer by any possible means of communication in case: is “located” in any Sanctions Restricted Country or Sanctions Restricted Territory as described in paragraph (b) of the definition of Sanctions Restricted Person.

Sanctions Restricted Person includes any Person or LNG Vessel that is (a) designated by the United States as a Specially Designated National & Blocked Person (SDN), and the Consolidated List of Financial Sanctions Targets maintained by the United Kingdom; (b) designated under any of the Sanctions Laws issued by the European Union or any of its member states; (c) otherwise subject to any Sanctions Laws issued by the United States, the European Union or any member state, or the United Kingdom which would prohibit the relevant transactions to be entered into or performed under this Agreement; (d) designated under any of the Sanctions Laws issued by the HM Treasury; (e) owned or controlled, directly or indirectly fifty percent (50%) or more by any person(s) referred to under (a) and/or (b) and/or (c) (individually or in combination); or (f) is otherwise subject to any Sanctions Laws; domiciled, registered as located or having its main place of business in, or is incorporated under the laws of, a country or territory which is the target of comprehensive, country- or territory-wide Sanctions.

Sanctions Restricted Person means any person that is, or is owned or controlled (as such terms are interpreted in accordance with applicable Sanctions laws and regulations) by one or more persons that is, (a) publicly designated by a Sanctions Authority to be the target of Sanctions, (b) a citizen of, located or resident in, or incorporated or organised under the laws of a country or territory that is the target of country-wide or territory-wide Sanctions or (c) otherwise the target of Sanctions;
