Sanctions Violation definition

Sanctions Violation has the meaning assigned to such term in Section 8.7(d).

Sanctions Violation has the meaning provided in Section 6.5(d) (Compliance with Government Rules, Etc.).

Examples of Sanctions Violation in a sentence

• If the Borrower obtains knowledge or receives any written notice that the Borrower, the Project Owner, or any Person holding any legal or beneficial interest in the Borrower or the Project Owner (directly or indirectly) is named on any Sanctions List or is otherwise subject to Sanctions (such occurrence, a “Sanctions Violation”), the Borrower shall immediately give written notice to the Administrative Agent of such Sanctions Violation.

• Promptly, and in any event within five Business Days, upon the Company’s receipt of notice from any Affected Noteholder that a Noteholder Sanctions Violation shall have occurred with respect to such Noteholder as a result of any OFAC Event, the Company shall forward a copy of such notice to each holder of Notes.

• Violation Sanctions: Violation of this policy may result in sanctions, including access restrictions (Trading Reject) or account suspension.

• In the event of any Noteholder Sanctions Violation, the relevant holder of Notes shall have those rights and remedies set forth in Section 10.10(b), in addition to any rights and remedies that may be available to such holder under this Agreement as a result of any breach of clause (ii)(x) of this Section 10.10(a).

• In the event of a Noteholder Sanctions Violation, the relevant holder of Notes shall have those rights and remedies set forth in Section 8.8 in addition to any other rights or remedies that may be available to such holder under this Agreement; provided, however, that if the Company complies with Section 8.8, a Noteholder Sanctions Violation shall not constitute an Event of Default hereunder.
