In order to exercise its redemption option, the Company must notify the holders of record of its Series D Preferred Stock in writing (the "Conditions Satisfaction Notice") prior to the opening of business on the second trading day after the conditions in the preceding sentences have, from time to time, been satisfied.
The Investors hereby agree that (i) neither the delivery of the Expected Satisfaction Notice nor the Funding Notice shall be a condition to Closing and (ii) the Expected Satisfaction Notice and the Funding Notice shall only be delivered to Investors in connection with the Initial Closing.
