Scheduled Services definition

Scheduled Services shall have the meaning set forth in the SGR Security Agreement.

Scheduled Services means the communication to the public of any linear television programme service (but excluding any such communication to the public by means of Mobile TV Technologies, and further excluding the Linear Loop Rights,. the Near Video On Demand Rights and any exploitation by means of PVR Push) where, for the avoidance of doubt, the programmes included in such television programme service are communicated to the public at times scheduled by the operator of such service and not by any end user/recipient of such service.

Scheduled Services has the meaning set forth in Section 2.01.

Examples of Scheduled Services in a sentence

• The Borrower possesses or, following the AMR/US Airways Merger, co-possesses all necessary certificates, franchises, licenses, permits, rights, designations, authorizations, exemptions, concessions, frequencies and consents of any Governmental Authority which relate to the operation of the Scheduled Services and the conduct of its business and operations as currently conducted, except where failure to so possess would not, individually or in the aggregate, have a Material Adverse Effect.

• The Borrower possesses all necessary certificates, franchises, licenses, permits, rights, designations, authorizations, exemptions, concessions, frequencies and consents of any Governmental Authority which relate to the operation of any Scheduled Services and the conduct of its business and operations as currently conducted, except where failure to so possess would not, individually or in the aggregate, have a Material Adverse Effect.

• It is understood and agreed that Schedule II is intended to be descriptive of the Slots listed on such Schedule as of the last calendar week prior to the date hereof and that Schedule III is intended to be descriptive of the Scheduled Services listed on such Schedule as of the date hereof, and such Schedules shall not be construed as expanding or limiting in any way the Collateral subject to this SGR Security Agreement.

Scheduled Services means, at any time of determination, (i) each non-stop scheduled air carrier service between any Domestic Airport listed on Schedule 2.1 and any Foreign Airport listed on Schedule 2.1 of this Agreement (as such Schedule may be amended, or modified from time to time pursuant to this Agreement) (x) being operated by a Grantor or (y) available for operation by a Grantor (to the extent, with respect to clause (y), included in the then most recent Appraisal delivered under the Loan Agreement) and (ii) any other non-stop scheduled air carrier service (x) being operated by a Grantor at such time or (y) available for operation by a Grantor (to the extent, with respect to clause (y), included in the then most recent Appraisal delivered under the Loan Agreement) that has been designated as an additional “Scheduled Service” pursuant to any Pledge Supplement, and “Scheduled Service” shall mean any of such Scheduled Services as the context requires.
