Scheduled Term shall have the meaning set forth in Section 6.01(a).

Scheduled Term means (x) if the employment of the Employee is terminated under any provision of Article IV (other than Section 4.01) prior to the close of business on the third anniversary of the date hereof, the period ending at the close of business on the third anniversary of the date hereof and (y) if the employment of the Employee is terminated under any provision of Article IV (other than Section 4.01) on or after the close of business on the third anniversary of the date hereof, the period ending at the close of business on the date which is twelve months after the date on which the employment of the Employee is so terminated.
