Second Amendment Effective Date Transactions definition

Second Amendment Effective Date Transactions means the execution, delivery and performance by the Borrower and the other Loan Parties of the Second Amendment, the loan documentation in connection with the Solus Credit Agreement (but not the use of proceeds of the loans thereunder), the amendment to the Existing ABL Credit Agreement, and all the other transactions related to any of the foregoing and contemplated to have occurred as of the Second Amendment Effective Date, and the payment of premiums, fees and expenses in connection with the foregoing.

Second Amendment Effective Date Transactions has the meaning assigned to such term in the Second Amendment.

Examples of Second Amendment Effective Date Transactions in a sentence

• Immediately before and after giving effect to the making of the Tranche C Term Loans and the Tranche D Term Loans on the Second Amendment Effective Date and the consummation of the other Second Amendment Effective Date Transactions, the Parent and its Subsidiaries, on a consolidated basis, are Solvent.

• There shall exist no claim, action, suit, investigation, litigation or proceeding, pending or threatened in any court or before any Governmental Authority related to the making of the Tranche C Term Loans and Tranche D Term Loans or the consummation of the other Second Amendment Effective Date Transactions, or which could reasonably be expected to have a Material Adverse Effect.

• The Borrower and the Required Lenders hereby consent to the sharing of the Register with the Lender Representative in connection with the Second Amendment Effective Date Transactions and hereby authorizes the Administrative Agent to share the register with the Lender Representative on or prior to the Second Amendment Effective Date (and during the period from the Second Amendment Effective Date to the date that is five (5) Business Days thereafter).
