Second Lien Collateral Documents definition

Second Lien Collateral Documents means the “Security Documents” or “Collateral Documents” (as defined in the applicable Second Lien Debt Documents) and any other agreement, document or instrument pursuant to which a Lien is granted securing any Second Lien Obligations or pursuant to which any such Lien is perfected.

Second Lien Collateral Documents means the Second Lien Guarantee and Collateral Agreement, together with all other security agreements, account control agreements, freight forwarder and/or customs broker’s agreements, collateral access agreements, license agreements and other collateral documents executed and delivered in connection with the Second Lien Credit Agreement, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time.

Second Lien Collateral Documents has the meaning given to the term “Collateral Documents” in the Second Lien Credit Agreement.

Examples of Second Lien Collateral Documents in a sentence

• If the new First Lien Obligations under the new First Lien Loan Documents are secured by assets of the Grantors constituting Collateral that do not also secure the Second Lien Obligations, then the Second Lien Obligations shall be secured at such time by a second priority Lien on such assets to the same extent provided in the Second Lien Collateral Documents and this Agreement.

• Upon the Discharge of First Lien Obligations, the First Lien Collateral Agent shall deliver to the Second Lien Collateral Agent any Collateral and proceeds of Collateral held by it in the same form as received, with any necessary endorsements or as a court of competent jurisdiction may otherwise direct to be applied by the Second Lien Collateral Agent to the Second Lien Obligations in such order as specified in the Second Lien Collateral Documents.

• If the new Senior Lien Obligations under the new Senior Lien Note Documents are secured by assets of the Grantors of the type constituting Collateral that do not also secure the Second Lien Obligations, then the Second Lien Obligations shall be secured at such time by a second priority Lien on such assets to the same extent provided in the Second Lien Collateral Documents.

Second Lien Collateral Documents means, collectively, the Notes Collateral Documents and the Additional Second Lien Collateral Documents.

Second Lien Collateral Documents means the Second Lien Financing Agreements, the Second Lien Security Agreement and any other agreement, document or instrument (including any mortgage, deed of trust or fixture filing) pursuant to which a Lien is granted securing any Second Lien Obligations or under which rights or remedies with respect to such Liens are governed.

Second Lien Collateral Documents means each of the guarantees and security documents entered into by the Loan Parties in connection with the Senior Second Lien Secured Notes.

Second Lien Collateral Documents means, collectively, the security documents to be entered into or amended and/or restated pursuant to the terms of this Indenture and any other agreement, document or instrument pursuant to which a Lien is granted or purported to be granted securing Second Priority Notes Obligations or under which rights or remedies with respect to such Liens are governed, as amended, extended, renewed restated, refunded, replaced, refinanced, supplemented, modified or otherwise changed from time to time.
