Second Measurement Date definition

Second Measurement Date has the meaning specified in Section 2.07. “Securities Act” means the U.S. Securities Act of 1933, as amended. “Securities Act Legend” means the following legend, printed in capital letters: THIS NOTE HAS NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED (THE “SECURITIES ACT”) AND MAY NOT BE OFFERED, SOLD, PLEDGED OR OTHERWISE TRANSFERRED EXCEPT IN ACCORDANCE WITH THE FOLLOWING SENTENCE. Second Measurement Date means the second anniversary of the Acquisition Closing;
Second Measurement Date means the date on which the Company files with the SEC its audited financial statements for the fiscal year ending December 31, 2012.

Second Measurement Date means the earlier of the one month anniversary of the Company’s receipt of the Second FDA Approval or the Expiration Date, but in no event earlier than the fifth (5th) anniversary of the Grant Date.
