The Amended and Restated Guarantee, Pledge and Security Agreement, dated as of the date hereof, among the Borrower, the Subsidiary Guarantors, the Administrative Agent, the administrative agent under the Term Loan Credit Facility, each holder (or a representative, agent or trustee therefor) from time to time of any Secured Longer-Term Indebtedness, if any, and the Collateral Agent (the “Amended and Restated Guarantee and Security Agreement”), duly executed and delivered by each of the parties thereto.
