Securities Issuance definition

Securities Issuance means the issuance of Spinco Debt Securities.
Securities Issuance means a private or public offering, sale, issuance or delivery of, or commitment or agreement to commit to offer, sell, issue or deliver (whether through the issuance or granting of options, warrants, commitments, subscriptions, rights to purchase or otherwise) any stock of any class, any limited partnership interests or units, or any other debt or equity securities (including, without limitation, indebtedness having the right to vote, indebtedness convertible into any equity of any class or any other securities), or equity equivalents of either (including, without limitation, stock appreciation rights). Securities Issuance shall also mean any reorganization, recapitalization, reclassification, stock dividend, stock split, combination of shares, exchange of shares for other shares of the companies, repurchase or redemption of shares, change in corporate structure or the like in which the outstanding securities would be increased, decreased or changed into or exchanged for a different number or kind of securities.
Securities Issuance means the sale of (a) any shares, interests, rights to purchase, warrants, options, participations or other equivalents or interests in equity of any Person or (b) any notes, bonds, debentures or similar instruments issued by any Person.

Examples of Securities Issuance in a sentence

  • Notwithstanding Paragraph (1) above, if the Company issues new shares by public offering or depositary receipts in accordance with the Overseas Securities Issuance Regulation, or issues new shares to increase the Company’s capital through public offerings, the decision on preemptive right and other conditions on issuance of new shares are determined by a resolution of the Board of Directors (amended on March 20, 1989).

  • Capitalized terms not defined herein or in the Securities Issuance Agreement shall have the meaning set forth in the Loan Agreement.

Securities Issuance has the meaning assigned to such term in Section ------------------- 2.06(d).
