Securitization Transactions definition

Securitization Transactions as defined in the definition of Indebtedness.
Securitization Transactions means any transaction or series of transactions entered into by Holdings or any of its Subsidiaries pursuant to which any Person issues interests, the proceeds of which are used to finance a discrete pool of Receivables Assets (in each case whether now existing or arising in the future), and which may include a grant of a security interest in any such Receivables Assets (whether now existing or arising in the future) of Holdings or any of its Subsidiaries.
Securitization Transactions means one or more transactions involving the securitization by the Company or any of its Subsidiaries of Receivables and Related Security, including, without limitation, as a result of the sale or granting of a Lien in such Receivables and Related Security to an SPV or another Person and the contribution of Receivables and Related Security to an SPV; provided, that the amount of the obligations incurred under all such transactions by all such Persons that would be characterized as principal if structured as a secured lending transaction rather than as a purchase does not exceed $350,000,000 in the aggregate at any one time outstanding.

Securitization Transactions means a transfer of, or grant of a Lien on, foreign accounts receivable by any Foreign Subsidiary to a Special Purpose Subsidiary or other special purpose or limited purpose entity and the issuance (whether by such Special Purpose Subsidiary or other special purpose or limited purpose entity or any other Person) of Debt or of any securities secured directly or indirectly by interests in, or of trust or a comparable certificates or other securities directly or indirectly evidencing interests in, such foreign accounts receivable.
Securitization Transactions means any past, present or future transactions completed or to be completed by the Company and its Subsidiaries involving the pooling and sale of Automobile Contracts.
Securitization Transactions means, with respect to any person, any transfer by such person of accounts receivable or interests therein (a) to a trust, partnership, corporation or other entity that is a Receivables Subsidiary, which transfer is funded in whole or in part, directly or indirectly, by the incurrence or issuance by the transferee or any successor transferee of Indebtedness or securities that are to receive payments from, or that represent interests in, the cash flow derived from such accounts receivable or interests, or (b) directly to one or more investors or other purchasers. The amount of any Securitization Transaction shall be deemed at any time to be the aggregate principal or stated amount of the Indebtedness or securities referred to in the preceding sentence or, if there shall be no such principal or stated amount, the uncollected amount of the accounts receivable transferred pursuant to such Securitization Transaction net of any accounts receivable that have been written off as uncollectible.
Securitization Transactions means the transactions constituting the Approved Securitization, as contemplated by the Securitization Documents, including (among other things): (i) the sale, conveyance or other transfer by a Subsidiary Originator, directly or indirectly to the Domestic Borrower or the SPV, of accounts receivable to be included in the Securitization Receivables (Gross), whether as a true sale, dividend or distribution, or otherwise, and including any "back-up" Lien thereon; (ii) the sale, conveyance or other transfer by the Domestic Borrower of accounts receivable originated by the Domestic Borrower or any Subsidiary Originator to the SPV to be included in the Securitization Receivables (Gross), whether as a true sale, capital contribution, or otherwise, and including any "back-up" Lien thereon; (iii) the sale, conveyance or other transfer by the SPV to the Securitization Conduit of the Securitization Receivables (Gross), or of an undivided percentage ownership interest therein, whether as a true sale or otherwise, and including any "back-up" Lien thereon; in each case howsoever characterized, including among other things, any Indebtedness that arises in connection with any such transfers (whether as deferred purchase price or otherwise, and whether or not evidenced by a promissory note) or that could exist were any such transfer to be characterized by a court as the grant of a Lien to secure Indebtedness.
Securitization Transactions means the transactions contemplated by the Transaction Documents including, without limitation, the contribution to the applicable Securitization Entities of the Contributed Assets and the proceeds thereof on the Series Closing Dates and the issuance and sale of each Series of Notes on the related Series Closing Date in the manner provided in the applicable Transaction Documents.
Securitization Transactions. Collectively, (a) the securitization transactions permitted pursuant to §9.3 whereby (i) Ryder or an Affiliate of Ryder transfers the beneficial interests in certain of its assets directly or indirectly to a special purpose bankruptcy-remote Subsidiary of Ryder (a “Securitization Subsidiary”) in transfers that include one or more true sales of such beneficial interests, (ii) such Securitization Subsidiary finances (which may or may not be a financing for accounting and tax purposes) the beneficial interests directly with a lender or a purchaser or by issuing new securities backed by the beneficial interests, and (iii) such financing is on a non-recourse basis to Ryder or any of its other Subsidiaries and/or Affiliates (other than with respect to (A) the applicable Securitization Subsidiary, (B) any limited recourse contemplated under this Agreement under any of the Limited Recourse Facilities, or (C) for breaches of standard representations, warranties and covenants and indemnification obligations that would not have a material adverse effect on the business, assets or financial condition of Ryder and its Subsidiaries); provided that any amendments to such securitization transactions do not materially modify or alter the terms of recourse or levels of recourse under such transaction to levels greater than those permitted by §9.3; and (b) any other securitization transactions that have been consented to by the Administrative Agent, such consent not to be unreasonably withheld.
