Sell-Off Period definition

Sell-Off Period has the meaning set forth in Section 11.6(a) hereof.

• After the Sell-Off Period, Beta will destroy any remaining unused Glucagon Products in its possession in the Terminated Region and provide Xeris with written evidence of such destruction to Xeris, or transfer such Glucagon Products to other country(ies) or region(s) in the Territory.

• All of the licenses granted under this Agreement will terminate, except as necessary for Beta to sell remaining unused Glucagon Product during the Sell-Off Period in accordance with Section 11.4.6 (Return or Destruction of Materials) or as otherwise expressly provided in the License Agreement, as applicable.

• The term of this Agreement shall commence as of the Effective Date and shall, unless earlier terminated, continue until the expiration of the last to expire of the Spinco Sell-Off Period (if any), WDC Sell-Off Period (if any), Spinco General Trademark License Term, WDC General Trademark License Term and Spinco Internal-Use Trademark Term (if any), as set forth in Section 2.1 and Section 3.1 according to the terms and conditions of this Agreement.

More Definitions of Sell-Off Period

Sell-Off Period means the period beginning on the date of termination or expiry and ending on the date that is the earlier of:

Sell-Off Period has the meaning set forth in Section 12.4(g) (Inventory).

Sell-Off Period shall have the meaning ascribed to it in Section 5.9.

Sell-Off Period for a product of the Business in a particular jurisdiction means (a) if there is a Registration Transition Period with respect to such product, the twelve (12) month period directly following the end of such Registration Transition Period, or (b) if there is no Registration Transition Period with respect to such product, the twelve (12) month period following the Closing Date.

Sell-Off Period means a period of ninety (90) days after the date of expiration or termination of this Agreement.

Sell-Off Period means the period from the Closing Date until the later of (i) the date at which Purchaser has sold all of the Inventory that consists of LEUKINE and (ii) the date which is three months after the date the FDA has approved Purchaser’s new packaging, displays, signs, promotional materials, manuals and forms for use in the packaging, marketing, promoting, advertising and selling of LEUKINE.

Sell-Off Period has the meaning given to it in SECTION 12.4(C).
